Job Summary:
This role will provide strategic legal support across the business, with a particular focus on business development, construction-related matters, and dispute resolution for wind, solar, battery storage and land. The successful candidate will play a key role in guiding complex transactions, ensuring compliance, and supporting the company’s growth in the renewable energy sector.
Key Responsibilities:
Contract Review & Negotiation on Complex Transactions
Assist business teams in reviewing, negotiating and advising on complex contracts including EPC and O&M contracts, joint venture agreements, offtake agreements and debt financings.Strategic Legal Advice
Provide expert counsel on key legal issues impacting Vena Energy’s operations in the Philippines particularly onshore and offshore wind, mounted and floating solar, battery storage and land / real estate matters.Claims & Disputes
Advise and assist in potential or ongoing claims, disputes, and investigations, particularly those arising from construction and business development, land acquisition and offtake agreements.Compliance
Ensure compliance with Philippine laws, renewable energy regulations, anti-money laundering, data privacy and anti-bribery/anti-corruption frameworks.Corporate & Commercial Matters
Advise on general corporate issues and day-to-day activities, including commercial contracts, office leases, and employment matters.Template Management
Review, standardize, and maintain legal document templates.Legal Research
Conduct legal research to support business and operational needs.Regional Matters
Provide support on regional APAC legal matters as required.Team Supervision
Supervise and mentor at least 1–2 lawyers within the Philippines legal team depending on the growth of the business.Other Duties
Undertake any other tasks assigned by country business teams or the Philippine Head of Legal.
Pre-requisites:
Experience: Minimum of 15 years as a practicing lawyer.
Industry Background: At least 5 years of experience in the energy industry is preferred or as a general counsel dealing with multiple projects and entities; prior experience in renewable energy is highly desirable.
Expertise: Strong background in business development, construction-related legal matters, and dispute resolution.
Skills: Excellent negotiation, analytical, and communication skills; ability to manage complex transactions and provide clear, strategic advice and handle multiple projects and issues.
Leadership: Demonstrated ability to supervise and develop junior lawyers.
