Position Purpose:
Accountable for financial reporting and accounting of board and executive compensation that is audited and published in the compensation report, the notes to the financial statements of Sandoz Group AG and other corporate reports (AGM presentations, say-on-pay, investor presentations, proxy advisor platforms). Accountable for the instalment of Board fees, Executive Rewards analytics, Global rewards governance and policies
Your Key Responsibilities:
Your responsibilities include, but not limited to:
Governance and Compliance
- Systems & Process Design:
- Develop and manage robust systems, tools, and processes to compile, analyze, and deliver accurate compensation data for corporate disclosures, ensuring compliance with legal requirements and IFRS standards.
- Data Consolidation & Reporting:
- Consolidate and filter reportable payroll, equity, and benefits data for EC & BoD members’ FY compensation calculations.
- Prepare and format data for inclusion in compensation reports, financial statement notes, and annual corporate disclosures. Contribute to the writing of such documents.
- Cross-Functional Collaboration:
- Partner closely with Finance, Investor Relations, Legal, and external providers to meet reporting requirements for annual reports, say-on-pay, AGM, corporate audits, and shareholder approvals.
- Ensure seamless coordination on EC & Board members’ compensation matters across functions.
- Audit & Controls:
- Conduct rigorous data validation and prepare detailed calculations, analysis, and documentation for both internal and external reporting.
- Manage relationships with statutory auditors to ensure timely audit closures and provide the necessary supporting documentation.
- Governance & Compliance:
- Apply current reporting and accounting standards (including IFRS) and proactively simplify processes where feasible, ensuring alignment with FRA and Legal.
- Prepare compensation report submissions for the Board.
- Process Documentation & Improvement:
- Document processes using the process mapping tool for Compensation Committee and annual reporting preparation.
- Perform regular controls and continuous improvements over the reporting process.
Board and Executive Committee compensation
- Board compensation:
- Consolidate Board members’ election results and prepare new AGM budget.
- Manage Board fee instalment calculation tool, computes the Board fee payments and instructs payroll for timely payment.
- Work closely with Equity team to manage shares granting.
- EC compensation:
- Fully integrates the Executive Committee compensation review with external reporting simulations to allow the Human Capital and ESG Committee to see the full picture and take decisions in context.
- Supports the Executive Committee annual performance and compensation review process. Collaborates across Finance and other teams to consolidate financials and KPIs to report business and individual performance.
Global compensation team
- Integrates as part of the rewards team and performs other tasks as required in the area of global compensation and executive compensation.
- Manage year-end compensation tasks for EC & SLT members, including salary letter, payroll instruction, LTPP instruction.
- Represent the rewards function within multi-functional projects.
- Support Executive Rewards team on analytics
Rewards Governance and policies
- Manage updates of governance and policies in line with changes in compensation design and framework.
- Ensure necessary approvals, and timely documentation and publication of governance and policy documents
What you’ll bring to the role:
- Qualification in finance required. MBA or postgraduate in Finance or Accounting preferred,
- Knowledge of HR / rewards preferred but not essential
- English required
- German and/or French desirable
- Finance or Accounting experience, in complex, international companies
- Knowledge of SEC and IFRS regulations surrounding Executive Compensation is a plus
- Strong business and financial acumen
- Proven analytical and decision-making skills
- Demonstrated project management skills
