当社グループが組成・運用する不動産ファンドの投資案件(物流施設およびデータセンター)にかかる、プロ
ジェクトベースのファイナンス(主としてノン・リコース型。開発案件・稼働案件を含む。)の取得・実施。
具体的には以下を含む:
- 日系、外資系主要レンダーとの既存リレーションシップを活かしつつ、投資事案に即したレンダーへのファイナンス提案の要請とファイナンス条件にかかる交渉を行う。
- ファンドマネジメント部門(海外)および国内の投資部門・アセットマネジメント部門・開発部門・リーシング部門(東京)と連携した、レンダー候補への案件説明とデューデリジェンスへの対応。
- ファイナンス提案内容の分析・評価と本社・ファンド運営部門(海外)への説明。
- ファイナンス実施に際し必要となる外部資料(鑑定評価書・エンジニアリングレポート・諸意見書他)の発注と内容の確認
- 法務部門と連携して、ファイナンス契約関連書類の作成
- ファイナンスクロージングにかかる諸手続の実施
- アセットマネジメント部門が実施する既存ファイナンス案件に関する貸手への報告等にかかる、ファイナンスの仕組面からの助言とサポート。
- 日本事業全体にかかる負債調達管理・グループ本社向け報告に関して、カントリーCFOをサポート
Key role of the position is to procure and execute debt financing for projects sponsored by the Company and funds managed by the Company. Debt financings are primarily non-recourse financings secured by infrastructure projects (primarily logistics and data centers) in Japan. Financings include both development project financing and permanent/acquisition loan for income-generating assets. This position reports to Japan country CFO of the Company, with day-to-day supervision by Senior Director of the department. The debt capital market team is currently comprised of 3 staff.
Key Roles:
- Prepare RFP package, deal with Q&A with lender candidates and negotiate terms of financing, working closely with onshore investment team, offshore fund managers and other relevant functions such as construction management, asset management and leasing.
- Evaluate financing proposals, prepare financing recommendations to the Company headquarters and fund managers.
- End-to-end execution role for financing, working with/supported by legal, treasury and asset management teams.
- Assist/advise asset managers in on-going reporting/communication with lenders on existing finance facilities from debt standpoint
- Support Country CFO in overall Japan debt and liability management analysis and reporting.
Requirements
- 借手(不動産会社、アセットマネジメント会社)または貸手(金融機関側)いずれかでの不動産ノンリコース・ファイナンスの実施経験.
- 収益不動産の法務・キャッシュフローモデル・デューデリジェンスに関する基本的な知識。
- 英語:ファイナンス事案についてファンド運営部門(海外)と連携し、また外資系を含む金融機関とファイナンスの取り進めを行える英語力(会話・文書とも。)
- Experience in real estate financing for commercial real estate in Japan with lender, arranger, real estate companies and/or asset management firms. Knowledge in infrastructure assets (logistics, data center and renewable energy) is preferred but not required.
- Basic legal, valuation and cash flow model knowledge in Japanese commercial real estate financing.
- Ability to converse in both Business Level Japanese and English (verbal and written communication.)
Skills Required
- Experience in real estate non-recourse financing with either borrowers or lenders
- Basic knowledge of legal aspects, cash flow models, and due diligence in income-producing real estate
- Business level proficiency in Japanese and English
- Experience with financing for logistics, data centers, and renewable energy
