Position : Senior Legal Counsel

Key Responsibilities
Legal Advice and Transactions:
- Provide legal advice on real estate transactions such as acquisitions, disposals, and leases. Review, draft, and negotiate contracts, leases, sale and purchase agreements, joint venture agreements, and other legal transaction documents.
- Conduct due diligence investigations on properties to ensure compliance with local, state, and federal real estate laws and regulations.
Dispute Resolution:
- Represent the company in real estate disputes and litigation. Manage and resolve legal disputes involving the firm or its portfolio companies.
- Coordinate with external counsel as needed to assist in resolving major disputes.
Compliance and Risk Management:
- Develop and implement policies to ensure the company adheres to legal standards and industry regulations.
- Identify potential compliance risks and develop strategies to mitigate them.
- Educate employees about compliance requirements and ethical standards.
- Regularly review company practices and report on compliance status. Work with internal and external auditors to address issues raised in audit reports.
- Keep up with changes in laws and regulations and ensure the company remains compliant.
Corporate Governance and Strategy:
- Advise on legal issues related to the management of portfolio companies under the fund and joint ventures. Ensure portfolio companies adhere to corporate governance standards.
- Assist in the development and implementation of exit strategies in accordance with fund documents.
- Provide guidance on compliance with prevailing laws and regulations as well as ESR Group policies.
- Stay updated on changes in laws and regulations affecting portfolio companies.
- Provide guidance to various internal stakeholders on legal and compliance matters.
Cross-Border Transactions:
- Provide legal support for cross-border transactions and investments.
- Navigate complex cross-border regulatory environments to ensure smooth execution of investments and transactions.
- Identify and mitigate legal risks associated with investments and operations.
- Develop and implement risk management strategies.
Strategic Initiatives:
- Collaborate with senior management on strategic initiatives and business planning.
- Provide legal insights to support ESR Group’s long-term goals.
Requirements
- Law degree from a top-tier Indonesian law school.
- Admission to the bar in Indonesia.
- 15+ years of extensive experience in private equity, corporate law, property law, and other related fields.
- Strong drafting, negotiation, and analytical skills.
- Prior experience working in a top-tier law firm or other multinational companies.
- Ability to work under pressure and manage multiple priorities.
- Hands-on and organized with strong problem-solving abilities.
- Experience in managing and resolving legal disputes.
- Knowledge of cross-border transactions and investments.
- Excellent communication and interpersonal skills to enable collaboration with multiple senior stakeholders.
