Job Description- Support and oversee the Group’s corporate structure and governance activities across multiple jurisdictions.
- Ensure Group companies comply with internal and external corporate governance requirements.
- Maintain accurate corporate records and draft, review and file corporate documentation.
- Develop and update corporate governance policies, Group policies and procedures.
- Support M&A transactions and the post-acquisition integration of newly acquired entities.
- Provide legal advice and contract support to departments including Sales, Business Development, Engineering, IT, HR, Finance and Procurement.
- Advise and train directors and employees on corporate governance responsibilities and legal obligations.
- Manage and guide paralegals, identify legal risks and prepare reports on the Group’s corporate activities.
- Bachelor’s or Master’s degree in Law; other relevant degrees or professional certifications are advantageous.
- At least 8 years of in-house legal experience covering commercial law, corporate law and governance.
- Experience within the engineering or construction industry is preferred.
- Familiarity with Swiss corporate law, governance models and legal entity management tools is advantageous.
- Fluent English is mandatory; German or other European languages are an advantage.
- Strong analytical and problem-solving skills, with excellent attention to detail and organisation.
- Excellent written and verbal communication skills, with the ability to explain complex legal matters clearly.
- Independent and collaborative working style, with strong leadership, relationship-building and risk-management capabilities.
