We are seeking an experienced Senior Legal Counsel with a strong background in technology contracts, data privacy, and intellectual property to join our Legal & Compliance team. The ideal candidate brings hands-on expertise advising on SaaS agreements, GDPR/CCPA compliance, open-source licensing, and M&A transactions within complex, cross-cultural corporate environments. This role requires a commercially minded attorney who can translate complex legal risks into clear, actionable business guidance.
Technology Contracts & Commercial Agreements
• Draft, review, and negotiate a broad portfolio of technology-related agreements including SaaS, EULAs, Master Service Agreements, Software Licensing, Cloud Agreements, OEM, and Joint Development Agreements.
• Lead commercial contract negotiations with enterprise clients, vendors, data providers, and resellers, ensuring favorable and risk-appropriate terms.
• Review and evaluate RFP terms and conditions; advise business teams on legal and contractual risk, offering practical mitigation strategies.
• Revamp and maintain contract templates, playbooks, and standard operating procedures for the legal team.
Data Privacy & Compliance
• Lead implementation and ongoing management of the company's Data Governance Framework, including policies, notices, and agreement amendments.
• Manage the Data Protection Officer (DPO) function, serving as the primary privacy liaison internally and with regulators.
• Drive GDPR, CCPA/CPRA, and HIPAA compliance programs across the organization, including training, data subject request handling, and breach response.
• Align data protection practices with industry frameworks such as ISO 27001, NIST, and SOC standards.
Intellectual Property & Open-Source Compliance
• Advise on IP strategy for new product releases, including patent analytics and IP checklist reviews.
• Provide counsel on open-source software licensing compliance (GPL, LGPL, MIT, BSD, Apache) for use, contribution, and acquisition scenarios.
• Manage trademark matters including classification searches and infringement case support.
M&A & Strategic Transactions
• Support due diligence and risk assessment for mergers, acquisitions, and strategic partnerships.
• Identify and mitigate legal risks through representations, warranties, indemnities, and protective contractual mechanisms.
• Collaborate with external counsel on cross-border transactions and regulatory matters.
Requirements
Education
• LLB or equivalent law degree from a recognized institution; postgraduate or specialization in IP or technology law is a strong advantage.
• Certified Information Privacy Professional (CIPP-US, CIPP/E, or equivalent) from IAPP is highly preferred.
Experience
• Minimum 6–8 years of post-qualification experience (PQE) in technology law, with at least 3 years in an in-house corporate legal role.
• Proven track record working with Fortune 500 / large conglomerate companies in cross-cultural and multi-jurisdictional environments.
• Demonstrated experience in contract negotiation for complex, high-value technology deals.
• Hands-on experience implementing data privacy programs under GDPR, CCPA/CPRA, and HIPAA.
