POSITION SUMMARY:
The Senior Governance Paralegal will play a critical role in supporting the corporate governance, compliance, and entity management needs of a privately held global corporation operating across multiple jurisdictions. Meticulous attention to detail and strong organizational skills are imperative in carrying out the work of the Legal Governance team as you partner with the other Senior Governance Paralegal to divide the governance of our entity portfolio. This role will have direct visibility to C-Suite executive team and shareholders.
RESPONSIBILITIES:
- Lead annual compliance requirements and related governance processes for entities in EMEA, South America, and APAC to include:
- Prepare entity governance documents such as but not limited to: consents, resolutions, minutes, extracts, POAs, intercompany agreements, organizational charts and formation documents; officer and director onboarding and offboarding and processing other statutory filings and registrations.
- Lead annual general meetings and board meetings as well as prepare notices, materials, and/or agendas as needed.
- Draft authority and verification certificates.
- Respond to regulatory inquiries, audits and third-party requests for information.
- Accurately maintain and improve records and databases including minute book maintenance.
- Monitor and calendar compliance deadlines, annual meeting requirements, and key governance events across jurisdictions to detect, resolve, and prevent compliance deficiencies and regulatory risks.
- Attend cross-functional entity project meetings.
- Support formations, dissolutions, mergers and acquisitions.
2. Manage US registrations across all 50 states and US territories.
3. Participate in building out our entity management system in addition to ongoing management of the database including organizing, reviewing, maintaining and auditing relevant records and processes on an annual basis.
4. Support audit requests and functions, including reporting summaries and tracking.
5. Assist with shareholder lifecycle processes, including elections committees and supporting share issuance/repurchase processes.
6. Create electronic files, spreadsheets, checklists, and overall database management for various governance processes.
7 . Liaise with internal stakeholders, external counsel, and other third parties to ensure timely completion of projects and compliance requirements.
8. Stay current on regulatory changes, monitor developments, and educate management, Governance, and Finance teams on new legal requirements and corporate best practices.
9. Serve as a thought leader to improve and simplify processes, drive standardization and organization, and build scalable solutions.
10. Systematically store, track, and destroy business documents and records in accordance with Data Privacy policies.
11. Limited expense report and billing tasks as related to the entities within purview.
12. Lead or participate in other projects as assigned to further improve the performance of the Governance team and overall company.
SKILLS & QUALIFICATIONS REQUIRED:
- Bachelor's degree
- Minimum of 15 years of directly relevant experience managing US and International entity governance either in-house or at a law firm.
- Technology-forward, comfortable with exploring AI to improve workflows.
- Experience working with board of directors, senior management and cross-functional teams with the ability to effectively communicate and manage governance requirements.
- Excellent writing, proofreading, and editing skills.
- Demonstrated ability to multi-task and be detail-oriented with strong organizational skills.
- Self-motivated with an ability to accomplish tasks with little oversight.
- Excellent time management with ability to effectively prioritize tasks, especially demonstrating change flexibility.

LOCATION:
This hybrid position is based out of the Milliman office in Seattle, WA. The expected application deadline for this job is August 14th, 2026.
COMPENSATION:
The hourly range for this role is $55.26-$91.12. A combination of factors will be considered, including, but not limited to, education, relevant work experience, qualifications, skills, certifications, etc. This is a non-exempt overtime eligible role.
