About the Role

As Senior Counsel, you'll report to the General Counsel and serve as a key legal partner across Hello Heart's product and commercial teams. You'll split your time between advising on product development, AI/ML features, and related legal considerations and risk within defined regulatory parameters on one hand, and negotiating commercial agreements with health plans, employers, partners, and vendors on the other. We're looking for a versatile, collaborative attorney who thrives in a fast-paced environment and is energized by the challenge of wearing multiple hats at a growing digital health company.

Responsibilities

  • Draft, review, and negotiate a variety of commercial agreements, including health plan and employer agreements, partnership agreements, data agreements, MSAs, BAAs, NDAs, and technology licensing agreements
  • Advise product and engineering teams on legal  considerations related to Hello Heart's mobile app, FDA-cleared devices, and AI/ML-driven features (including the AI medication assistant), and provide legal risk assessments based on regulatory guidance defined by the Compliance function.
  • Draft and advise on product-facing legal materials, including terms of service, user agreements, disclaimers, and in-product disclosures, to support product development and mitigate legal risk.
  • Review, negotiate, and manage vendor and supplier agreements, including SaaS subscriptions, professional services agreements, and technology procurement contracts, and support development of vendor onboarding and risk assessment processes
  • Support the Compliance function on matters involving HIPAA, FDA, FTC, CMS, and HHS OIG requirements, as needed in connection with product design and commercial arrangements.
  • Partner with internal stakeholders to build and maintain efficient legal processes, including playbooks, templates, and self-help workflows
  • Provide day-to-day legal counseling to commercial and product teams, including advising on product-facing legal materials, identifying and mitigating legal risks while advancing business objectives within defined regulatory parameters.
  • Support the Compliance function with monitoring developments in digital health law and regulation, including laws related to the use of AI in healthcare, telehealth, Medicare, and Medicaid, as relevant to product and commercial legal support.
  • Support special projects, investigations, and new business initiatives as they arise
  • Assist with the management of outside counsel on discrete matters

Qualifications

  • 5+ years of legal experience, with a mix of transactional, product counseling, including advising on regulatory risk. Law firm experience required; in-house experience in healthcare, digital health, or medical devices preferred.
  • Experience advising on product and technology matters, including legal risks and considerations related to data privacy, AI/ML, intellectual property, or FDA-regulated products, based on regulatory requirements defined by the Compliance function. 
  • Track record of drafting and negotiating commercial agreements of varying complexity
  • Experience negotiating SaaS, technology, and vendor procurement agreements
  • Familiarity with key regulatory frameworks in digital health, including HIPAA, FDA, FTC, and CMS sufficient to identify issues requiring Compliance involvement
  • Strong judgment in identifying risks and developing practical, business-oriented solutions
  • Highly organized, with the ability to handle and prioritize multiple matters simultaneously in a dynamic environment
  • Team player who is willing to pitch in across a wide variety of legal and business needs, where no job is too big or too small
  • Growth-minded, with a demonstrated ability to rapidly absorb new information and receive feedback
  • Excellent written and oral communication skills, effective in a distributed environment
  • JD from an accredited U.S. law school; licensed and in good standing with a state bar

Nice to Have

  • Experience with government health programs (Medicare Advantage, Medicaid)
  • Exposure to telehealth regulatory issues
  • Experience building legal processes, templates, or playbooks at a startup or high-growth company
  • Familiarity with the federal Anti-Kickback Statute, Stark Law, or other fraud and abuse regulations applicable to digital health companies 

The US base salary range for this full-time position is $215,000 to $235,000. Salary ranges are determined by role and level. Compensation is determined by additional factors, including job-related skills, experience, and relevant education or training. Please note that the compensation details listed in US role postings reflect the annual salary and bonus only, and do not include equity or benefits.
