The RoleHiggsfield is seeking a Senior Counsel, Commercial to serve as the primary legal partner to our Sales, Partnerships, Product, and Executive teams.
This role will own the company's commercial legal function, supporting enterprise sales, strategic partnerships, product commercialization, and go-to-market initiatives across a rapidly growing global business. You will work directly with company leadership to help accelerate revenue growth while providing practical, business-oriented legal guidance.
The ideal candidate is an exceptional commercial attorney who thrives in fast-paced environments, understands how to balance legal risk with business objectives, and enjoys building scalable legal infrastructure that enables teams to move quickly.
This position reports directly to the General Counsel and is based in the San Francisco Bay Area (preferred) or Los Angeles.
What You'll DoDrive Commercial TransactionsLead the negotiation, drafting, and execution of complex commercial agreements, including:
Enterprise customer agreements
SaaS and subscription agreements
Strategic partnership agreements
Technology licensing agreements
Data processing and data-sharing agreements
Vendor and procurement contracts
Marketing and distribution partnerships
Partner directly with GTM leadership to support sales cycles and remove legal bottlenecks that impact revenue generation.
Provide practical legal guidance that balances risk management with business growth objectives.
Support international commercial expansion and evolving go-to-market strategies.
Advise Product, Engineering, and Business teams on legal considerations related to AI products, intellectual property, data rights, privacy, content, and commercialization.
Collaborate with cross-functional stakeholders on new product launches, features, partnerships, and strategic initiatives.
Identify legal and operational risks early and propose pragmatic solutions that enable execution.
Develop and maintain contract templates, negotiation playbooks, fallback positions, and approval frameworks.
Improve contracting processes and workflows to increase efficiency and shorten deal cycles.
Partner with Legal Operations and business stakeholders to optimize contract management systems and reporting.
Help establish scalable legal processes that support rapid company growth.
Advise leadership on commercial risk management and strategic transactions.
Monitor legal and regulatory developments impacting AI, digital media, content generation, advertising technology, and enterprise software businesses.
Support special projects and emerging business priorities as the company continues to scale.
J.D. from an accredited law school and active membership in at least one U.S. state bar.
6+ years of legal experience, including substantial experience negotiating and advising on commercial transactions.
Combination of top law firm and in-house experience preferred.
Demonstrated experience supporting enterprise sales organizations and commercial business teams.
Strong expertise in technology transactions, SaaS agreements, licensing, strategic partnerships, and data-related agreements.
Experience advising high-growth technology, AI, software, marketplace, advertising technology, media, or platform businesses.
Exceptional drafting, negotiation, and communication skills.
Strong business judgment with the ability to provide practical, actionable advice.
Ability to manage multiple priorities and operate independently in a fast-moving environment.
Collaborative, low-ego, and highly execution-oriented mindset.
Experience supporting AI, machine learning, creator economy, digital media, advertising technology, or content platforms.
Experience building commercial legal processes in a high-growth startup environment.
Familiarity with privacy, intellectual property, and product counseling issues that arise in technology businesses.
Experience partnering directly with executive leadership on strategic commercial initiatives.
Experience working with contract lifecycle management systems such as Ironclad.
Compensation & Benefits
We offer a competitive and thoughtfully structured compensation package designed to align with impact and growth.
Base Salary: The anticipated salary range for this role is $200,000 - $220,000 , depending on experience, skills, and location.
In addition to cash compensation, we offer equity and a benefits package to support you both professionally and personally.
