The Role
About this role:
Wells Fargo is seeking a Senior Counsel in the Markets Section of the Legal Department to support global markets trading businesses.
We are seeking a highly skilled and motivated attorney to join the Legal Department of Wells Fargo Bank, supporting our rapidly growing Commodities, Rates, and Foreign Exchange (FX) trading businesses. This role offers a unique opportunity to work at the forefront of global financial markets, advising on a wide range of legal and regulatory matters that are critical to the success and integrity of our trading operations.
The position will provide legal advice, transactional support, and regulatory guidance to front-office sales and trading teams, risk management, compliance, operations, and other internal stakeholders. The role has global reach, supporting trading activities across North America, EMEA, and APAC.
In this role, you will:
  • Provide legal counsel on the structuring, documentation, and execution of transactions involving derivatives, repurchase agreements, and other traded instruments across commodities, interest rates, and FX.
  • Advise on regulatory compliance with global financial regulations
  • Partner with compliance and risk teams to assess and implement financial reform initiatives and regulatory developments.
  • Collaborate with external counsel and industry groups to stay ahead of legal and regulatory trends impacting the markets business.
  • Contribute to internal training, policy development, and legal risk management initiatives.
  • Provide legal advice and counsel to the businesses, including sales, trading, credit, compliance, and operations functions
  • Review and analyse complex challenges for the businesses that require an in-depth evaluation of variable factors
  • Manage highly complex matters of legal significance to the commodities, rates, and FX businesses business and develop and render opinions, consult with, and advise clients on legal and regulatory matters
  • Draft complex legal documents, review and negotiate documents prepared by outside counsel
  • Independently resolve moderately complex legal issues and lead team to meet deliverables
  • Identify and analyse complex legal issues, develop conclusions, and make recommendations for issue resolution
  • Develop the overall legal coverage strategy and philosophy of support for the commodities and derivatives businesses
  • Educate, train, and supervise less experienced attorneys within the Legal department
  • Collaborate with peers, colleagues, and mid-level managers to resolve issues and achieve goals
  • Lead projects, teams, or serve as a mentor for less experienced staff
  • Work directly with business clients and develop an in-depth understanding of commodities and derivatives business activities and products
  • Partner with business leaders and management of other corporate departments to develop and implement risk management programs
Required Qualifications:
  • Experience in Law, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education
Desired Qualifications:
  • Significant experience in representing clients with respect to commodities and derivatives transactions, including experience with physically settled crude oil and refined products, natural gas, metals and commodity linked financing structures.
  • Significant knowledge and experience with U.S. and/or equivalent U.K. and E.U. laws, rules and regulations relevant to commodities and derivatives transactions, including product and banking laws (the Dodd-Frank Act, the Bank Holding Company Act, the Gramm Leach Bliley Financial Modernisation Act, and Sections 23A and B of the Federal Reserve Act, Natural Gas Act, NGPA, etc.); bankruptcy laws (including netting laws); laws relating to secured transactions and creditors' rights.
  • Strong analytical skills with high attention to detail and accuracy
  • Experience building partnerships and consulting effectively with leadership
  • Ability to execute in a fast paced, high demand environment while balancing multiple priorities
