Job Description

Responsibilities of the Role

  • Primary and significant public company securities reporting and compliance responsibility, including:
    • ’33 Act, ’34 Act – 10-Q, 10-K, 8-K, proxy statements
    • Section 16 – Forms 3, 4 and 5
    • NYSE listing standards
  • Developing and maintaining policies and procedures to ensure compliance with SEC Regulations, Sarbanes-Oxley, NYSE Regulations, Dodd-Frank and other regulations applicable to public companies.
  • Corporate governance, including preparing materials for, and preparing minutes of boarding meetings and annual stakeholder meetings.
  • Reg FD, including supporting investor Relations and Corporate Communications teams with respect to reviewing press releases and investor relations presentations and other disclosure activities.
  • Collaborating with Invesco’s Corporate Development, operating companies, and other functional groups in all aspects of the mergers and acquisition process, including managing legal due diligence, drafting, and negotiating transaction documentation, coordinating closings and managing outside counsel.
  • Advising and counseling executive management on treasury matters, including public stock (common and preferred) and debt issuances and refinancing.

Requirements of the Role

  • 3-5 years of significant legal experience in federal securities laws and practice and corporate governance
  • 3-5 years of experience with mergers and acquisitions and other corporate matters
  • Bachelor’s degree from an accredited university
  • Juris Doctorate degree from an ABA-accredited law school
  • Admitted to at least one U.S state bar and in good standing
  • Experience with technology or litigation matters (preferred)
  • Excellent business judgment, ability to think strategically and give practical advice
  • Excellent interpersonal skills; must work well in a highly collaborative, team environment
  • Strong drafting skills and the ability to contribute using a hands-on approach
  • Self-motivated with the ability to take ownership of projects and practice area
  • Experience in engaging with management to improve and implement processes and procedures
  • Flexibility to work on a wide range of projects simultaneously and with those at various levels within the organization
