Job Summary

The Senior Counsel – Corporate Securities is responsible for supporting the company’s disclosure and corporate governance matters. This role will partner closely with the company’s Investor Relations, Finance, Human Resources, and Corporate Communications team, among others to ensure accurate, timely and compliant external reporting, strong governance practices and effective support of the Board of Directors and its committees.

Position Overview

Your responsibilities may include:

  • Lead legal support for periodic reporting (10-K, 10-Q, 8-K) and NYSE compliance/reporting, including disclosure controls support
  • Advise on ’33 Act offerings and ’34 Act reporting requirements
  • Support preparation of the annual proxy statement and Annual Meeting materials including coordinating disclosure inputs and assisting with drafting and review. 
  • Support NYSE compliance efforts, including annual and interim written affirmations and related corporate governance requirements
  • Administer the insider trading compliance program, including policies, trainings, 10b5-1 plan support (as applicable), and Section 16 filings
  • Support corporate governance activities, including administration of governance documents (including Corporate Governance Guidelines and committee charters) and preparation of Board and committee meeting materials and minutes 
  • Serve as a trusted advisor to cross-functional partners (e.g., Controllers, Treasury/Finance, Human Resources, Corporate Communications, and Investor Relations) on securities law and governance-related matters
  • Collaborate with corporate governance professionals responsible for subsidiary governance and entity management

Basic/Required:

  • Legally authorized to work in the United States
  • J.D. degree from an ABA-accredited law school
  • Admission to the State Bar of Texas or other appropriate jurisdictions
  • 5 or more years of legal experience advising on SEC reporting/NYSE compliance and corporate governance matters
  • Thorough knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940, and related federal securities laws   ( YES OR NO )

Preferred:

  • In-house experience preferred
  • Strong drafting and editing skills with excellent attention to detail
  • Experience advising on mergers and acquisitions for a large, international organization
  • Experience preparing and filing registration statements and other SEC filings, including proxy materials
  • Ability to manage multiple deadlines in a fast-paced environment with exercising sound judgment and discretion
  • Excellent negotiation, presentation, collaboration and diplomacy skills
  • Ability to lead and prioritize assignments which may be broad in scope and complexity, and which involve reciprocal work with employees in different departments and/or with varying degrees of seniority
  • Excellent written and oral communication skills and acute attention to detail; ability to communicate effectively with senior leaders
  • Comfort balancing independent work with close cross-functional partnership
