The Role

Job Title: Senior Corporate Lawyer b Title: Senior Corporate Lawyer

Location:  Panama City, Republic of Panama

Reports to: Managing Partner

Job Summary:

We are seeking a highly experienced and detail-oriented Senior Corporate Lawyer to join our legal team in Panama. The ideal candidate will possess deep expertise in Panamanian Corporate Law, regulatory compliance, and governance, and will play a strategic role in advising the firm and its clients on complex legal matters. This position requires a proactive legal professional with strong leadership, negotiation, and communication skills.  This role is pivotal in ensuring legal integrity and operational efficiency within corporate services. It supports the firm’s strategic goals by reducing legal risk exposure, enhancing client trust through precise and compliant documentation.

Key Responsibilities:

  • Corporate Legal Advisory.
  • Prepare, draft, and review a wide range of corporate legal documents including: Board and shareholder resolutions, Articles of incorporation and amendments, Shareholder agreements, Powers of attorney, legal opinions, amongst other legal documents.
  • Ensure all documentation complies with local corporate and regulatory requirements.
  • Provide expert legal advice on corporate governance, regulatory compliance, and risk mitigation strategies.
  • Liaise with clients, law firms, government agencies, and internal departments to ensure timely and accurate execution of legal tasks.
  • Maintain strong client relationships and ensure high standards of service delivery.
  • Contract Management.
  • Support the implementation and maintenance of corporate governance frameworks.
  • Assist in board meeting preparations, minute-taking, and compliance with statutory obligations.
  • Administrative & Operational Support
  • Oversee legal filings, invoicing, and document management.
  • Collaborate with corporate services, compliance, and administrative teams to streamline legal operations.

Qualifications:

  • Law degree (JD or equivalent) from an accredited institution. LLM preferred.
  • Licensed to practice law in Panama.
  • Minimum of 10 years of experience in corporate law, preferably within a local Panamanian law firm.
  • Proven expertise in Panamanian corporate law, compliance, and regulatory frameworks, experience working with complex corporate structures in Panama with offshore services.
  • Experience working in fast-paced, highly regulated environments.
  • Strong legal drafting and negotiation skills.
  • High ethical standards and professional integrity.
  • Professional bilingual fluency in Spanish and English is a must.
  • Technical Skills: Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and experience with various databases, or company-specific software.
