The Corporate Development / M&A team is part of the wider Global Strategy group at Wolters Kluwer, which reports to the CEO and Chair of the Executive Board and actively helps drive growth and strategic transformation across the company.
Wolter Kluwer actively manages its portfolio of businesses, and M&A has been an important component of the ongoing transformation from a publisher to a software provider. The Strategy and Corporate Development teams work closely together to proactively identify and analyze attractive markets and assets for investment. Since Summer 2024, the team has executed over 1.5B EUR worth of transactions and is looking to grow its bandwidth in Europe, where the majority of transactions take place.
The Corporate Development / M&A Europe team supports all 5 divisions throughout the region. We partner with Wolters Kluwer’s business leaders to source, assess, and execute transactions, affording this role senior leadership exposure. Deal size varies from 5-500M EUR, allowing you to take the lead on smaller deals with, as well as have first line exposure to larger transactions.
Responsibilities
Seeking a highly motivated and detail-oriented Senior Analyst to join the high-performing Corporate Development / M&A team. The successful candidate will play a key role in evaluating investment opportunities, building business plans and supporting all aspects of the M&A and due diligence process.
You will work directly with Directors/VPs/SVP and be involved in:
Processing and reviewing inbound opportunities
Working with business teams to build and model business cases
Write management reporting
Process NDAs with legal, prepare offer letters
Coordinate due diligence team
Manage external advisors
Conduct valuations
Be engaged in discussions with advisors and investors
Qualifications for Success
You have proven work experience at a private equity firm, an investment Bank/M&A boutique or financial Due Diligence practice with demonstrated extensive experience in financial modelling.
Bachelor’s degree in business, economics, finance or equivalent. MBA preferred.
Highly motivated individual with familiarity in Software / SaaS businesses
Experience with building financial models as well as business operational models, proficiency in translating unorganized data into thoughtfully structured analysis; strong analytical abilities, and a good understanding of financial statements
A preference for structure and standardization and an ability to project manage complex transactions while adhering to compressed timelines.
A natural curiosity for how businesses work
Collaborative by nature. Good communicator: concise, factual and to the point
Energetic self-starter with a sense of urgency and ownership of task mentality
Advanced English written and verbal communication skills
Next level knowledge of Microsoft Excel, PowerPoint and Word
