Essential Duties and Responsibilities
- Provide day-to-day legal counsel to support California business operations.
- Draft, review, and negotiate commercial contracts, vendor agreements, construction contracts, real estate leases, and service agreements.
- Support business negotiations and strategic initiatives to ensure legal risk mitigation.
- Advise management on corporate governance matters and regulatory compliance requirements.
- Identify, assess, and mitigate legal risks associated with operational expansion and capital projects.
- Oversee and manage outside counsel, ensuring effective and cost-efficient legal services.
- Collaborate with cross-functional teams including Finance, HR, Operations, Procurement, and Executive Leadership.
- Support local litigation management under direction of the General Counsel – North America
- Report to the General Counsel – North America to align legal strategies across jurisdictions.
- Provide legal support on California state and local tax (SALT) matters, including asset-based and property taxation, business personal property tax, real property assessments, asset valuation matters, and sales/use tax exposure, etc.
- Collaborate with Finance team and external tax advisors on tax-related assessments, compliance matters, and risk evaluation, ensuring alignment with applicable laws and corporate governance standards.
Qualifications
- Juris Doctor (J.D.) from an accredited law school.
- Active member in good standing with the California State Bar.
- 10+ years of progressive legal experience.
- Strong corporate legal background with extensive experience in commercial contracting and business advisory support.
- Relevant background or experience in California state and local tax law, particularly asset-based/property taxation.
- Experience advising executive leadership and senior management.
- Ability to independently manage complex legal matters with sound business judgment.
Preferred
- Prior in-house corporate legal experience.
- Experience supporting manufacturing, infrastructure, technology, or capital-intensive industries.
- Experience with facility development, construction, or large-scale expansion projects.
- Familiarity with multistate corporate tax considerations.
- Mandarin language capability is a plus.
Work location: Santa Clara, onsite
Salary range: 180K – 240K
