The Impact You’ll MakeWe are looking for a Corporate Counsel to support different important matters for the company in different jurisdictions. The in-house Corporate Counsel will primarily work on corporate matters, support on RFI/RFPs, negotiate contracts with clients, partners and vendors, advise on associated legal issues such as privacy, security and intellectual property, handle transaction issues and support on disputes related matters in the region of appointment, among other tasks. The job offers great independence, encourages involvement in the global management team and an opportunity to make a significant impact in a global scaling business.
What You’ll Own & Drive- Handle and administer corporate matters for the Legal office, including for all Incode subsidiaries.
- Manage, negotiate, and draft agreements with clients in the region and related amendments and addenda.
- Assist the Sales team in designing legal strategies when pursuing opportunities across the region.
- Review and advice on employment matters including employment agreements.
- Draft legal documents, such as pleadings, motions, notices, and discovery requests and responses.
- Maintain knowledge of local, state, and federal statutes and applicable laws.
- Review and advice on marketing-related agreements.
- Manage and negotiate on technology procurement matters.
- Manage internal reporting tools with respect to the management of contracts and contractual obligations.
- Support Compliance related functions
- Liaise with and supervise external counsel for outsourced matters.
- Follow-up on business and legal related activities on a day-to-day basis, including advice on privacy, security and intellectual property issues related to Incode’s products and services.
- Perform such other duties, functions and services, consistent with legal counsel status, experience and preferences, as may from time to time be determined by the other members of the legal department or by Senior Management.
- Undertake regional training activities related to the legal function.
- Knowledge of procurement guidelines when doing business with governments.
- General understanding of Corporate Governance, including a minimum understanding of Corporate Governance for Information Technology.
- International background with experience working in a multi-cultural, multi-national environment.
- Proven track record of project management and process-oriented skills.
- Experience dealing with compliance and regulatory related issues in the IT or technology sector.
- Commercially savvy, interested in the business aspects of the legal advice and services provided with skills to assess risks and present it to sales and management team in a simple, comprehensive manner to enable informed decision-making processes.
- Fluent in English and Spanish. Portuguese is a plus.
- Strong negotiation skills, inventive, independent, flexible, dynamic and initiative taker.
- Independent, well organized, detail oriented.
- Team player. Good communication skills.
- Minimum of 5+ years of experience.
- Degree in Law and qualified practice from a top-tier University. Post-graduate studies are an asset.
- Experience with contract negotiation and with the design of strategies to mitigate risks when doing business through SaaS model.
- Experience working in tech or SaaS companies.
