As we continue to scale, we’re seeking an experienced Corporate Counsel to join our high-growth tech company. This role offers a unique opportunity to work cross-functionally, providing strategic legal counsel on corporate governance, M&A, commercial contracts, and intellectual property in a fast-paced, transformative environment.

This position reports directly to the General Counsel and offers high visibility across the organization, including regular interaction with the Executive Leadership Team. You'll be supported by an experienced Senior Paralegal and intern legal staff, enabling you to focus on impactful, strategic work. This is an outstanding opportunity for in-person collaboration, with occasional travel and clear pathways for career advancement.

What You’ll Do:


✔ Provide expert legal advice on corporate governance, M&A, securities law, and strategic transactions.

 ✔ Draft, negotiate, and review complex commercial contracts, including SaaS agreements and software licensing.

✔ Advise on intellectual property matters, including patents, trademarks, and licensing.

✔ Ensure corporate compliance with evolving laws and regulations, including privacy (GDPR, CCPA) and data security.

 ✔ Collaborate with finance, HR, product, and marketing teams to assess legal risks.

✔ Mentor junior legal team members and play a key role in shaping legal strategy.


What We’re Looking For:

  • 5- 8 years of legal experience, with at least 1-2  years in-house at a tech or software company.
  • Juris Doctor (JD) from an accredited law school and admission to at least one state bar.
  • Proven expertise in corporate governance, M&A, and software licensing.
  • Strong experience drafting and negotiating complex contracts and IP-related agreements.
  • Ability to simplify complex legal issues and communicate effectively with business leaders.
  • Strong business acumen and a pragmatic approach to legal risk management.
  • Comfortable working independently and managing multiple priorities in a fast-paced environment.  
  • Ability to travel to State College, PA HQ's regularly required. 


Preferred Qualifications:

  • Experience with international legal matters, cross-border transactions, and compliance.
  • Familiarity with privacy laws (GDPR, CCPA) and data security regulations.
  • Background in high-growth private or public technology companies.
  • Ability to integrate legal strategy into broader business objectives.

Salary Range:  $175,000-$205,000 per year, based on experience. 

Bonus Eligibility:  Annual performance-based bonus consideration. 

HEALTH INSURANCE:  Medical, Dental, and Vision Insurance is provided at no cost for full-time employees upon date of hire. Low co-pay pharmacy benefit and affordable family coverage plan is available. Short and Long Term Disability is fully paid by Minitab. Employee Assistance Program (EAP) - Provides guidance for personal issue and information on other Work Life Matters. 

LIFE INSURANCE:  Group Term Life Insurance is provided at no cost for full-time employees at three times employee base salary. Minitab provides eligible employees the opportunity to purchase Voluntary Life Insurance for themselves and eligible dependents at affordable rates. 

RETIREMENT PLANNING:  A 401k Retirement Plan with T. Rowe Price is provided with eligible employee contribution immediately. Minitab will match dollar for dollar up to the first 6% of employee’s contribution. Employees are fully vested in the Minitab, LLC 401(k) Retirement Plan upon date of hire. 

PAID TIME OFF:  Paid holidays, as well as 4 weeks of annual paid time off are provided. The annual paid time off increases one week every five years.
