Position Summary:
Reporting to a senior member of the Legal team, the Senior Corporate Counsel should be a bright, energetic, business-minded and self-motivated transactional attorney with at least 5 years of transactional legal experience (commercial, general corporate, and/or M&A).
Responsibilities include but are not limited to:
- Reviewing, drafting, and negotiating commercial contracts, including sales, channels and vendor contracts, RFP responses, and supporting documents
- Providing ongoing commercial legal advice and support to the sales, product, marketing, account management, and business development teams
- Working closely with management and business partners on a variety of agreements and issues impacting a rapidly growing healthcare IT company
- Collaborating with, supporting, advising, and facilitating cross-team decision-making among internal teams.
- Conducting legal trainings for business stakeholders on a variety of commercial legal issues
- Supporting corporate transactional work, as needed (e.g., M&A and strategic investments)
- Assisting with other general legal matters to be assigned as company needs warrant
- Contributing to legal department leadership, mentoring junior staff, and promoting continuous process improvement
Education, Experience, & Skills Required:
- J.D. from a well-recognized law school and excellent academic credentials
- Admitted to the Massachusetts state bar or another U.S. state bar
- 5-8 years commercial and/or corporate transactional experience required, prior in-house or large law firm experience a plus
- Regulatory or technology (especially health industry) experience preferred
- Superior verbal and written communication skills (including contract drafting), including the ability to communicate concisely to clients & employees, integrate legal and business knowledge, and provide balanced advice regarding risks
- Strong organizational and time management skills, with the ability and willingness to spend the time necessary to meet demanding deadlines and adjust to shifting priorities
- Ability to think creatively and strategically, with both business acumen and legal skills
- Ability to manage multiple tasks simultaneously and to flourish in a fast-paced environment
- A writing exercise will be a critical component to the interview process
