Senior Consultant – Transaction Advisory Services, Tax – India

We are seeking a Senior Consultant to join our Transaction Advisory Services Tax team in India. This role will support U.S.-based deal teams on tax due diligence and other transaction-related tax matters for private equity and corporate clients.

 

The Senior Consultant will work as part of an integrated U.S./India engagement team and will assist with identifying tax risks and opportunities, analyzing transaction-related tax issues, preparing client deliverables, and managing assigned workstreams across multiple transactions.

 

Day-to-day responsibilities

  • Perform buy-side and sell-side U.S. tax due diligence.
  • Review U.S. federal and state income tax returns, tax workpapers, financial statements, tax provisions, and other supporting documentation.
  • Identify and analyze potential tax exposures, tax attributes, and transaction-related considerations.
  • Prepare information requests, diligence findings, and client-facing reports.
  • Research U.S. federal and state income tax issues relevant to mergers, acquisitions, and dispositions.
  • Assist with transaction structuring, tax modeling, and analysis of stock versus asset transactions.
  • Support review of tax provisions in transaction documents, including representations, warranties, covenants, and indemnities.
  • Coordinate with U.S.-based engagement teams and tax specialists across state and local tax, international tax, transfer pricing, and other areas.
  • Manage assigned workstreams and multiple concurrent engagements in a transaction-driven environment.
  • Review work prepared by junior team members and provide coaching and feedback.

Essential traits: 

  • Chartered Account or MBA with approximately 3–5 years of relevant tax experience, preferably with a Big 4 firm, large accounting firm, or global delivery organization.
  • Experience with U.S. federal income tax, including corporate and/or partnership taxation.
  • U.S. tax due diligence or M&A tax experience.
  • Experience supporting private equity or corporate transactions.
  • Familiarity with transaction-related U.S. tax matters such as tax attributes, Section 163(j), Section 382, transaction costs, tax basis, and stock versus asset acquisitions.
  • Experience reviewing U.S. tax returns and related workpapers.
  • Strong analytical, research, and written communication skills.
  • Ability to work effectively with U.S.-based teams and manage multiple priorities under tight deadlines.
  • Strong proficiency in Microsoft Excel, PowerPoint, and Word.
  • CA, CPA, Enrolled Agent, ACCA, or other relevant professional credential.
