What you can expect
As Senior Commercial Counsel, you will lead complex, high-value commercial technology transactions. You will structure, draft, and negotiate enterprise agreements with strategic customers. You will provide clear, commercially focused legal advice that balances risk and business objectives. You will act as a trusted advisor to senior stakeholders across Sales, Finance, Product, and other crossfunctional teams. You will support innovative products and strategic deals while navigating regulatory requirements. You will also help strengthen and scale the Commercial Legal function by improving templates, processes, and playbooks. This is a hybrid position reporting to a Zoom corporate office in Dublin or Cork, Ireland.

You will be part of Zoom’s award-winning and dynamic legal team. A collaborative, commercially minded group that partners closely with stakeholders across the business. The team plays a strategic role in supporting enterprise transactions, enabling innovation, and navigating complex regulatory landscapes. The Commercial Legal Team focuses on balancing legal risk with business objectives. The team operates at the center of a fast-growing SaaS environment. It provides practical, solution-oriented guidance that helps drive the company forward.
Responsibilities
Reviewing, drafting, advising on, and negotiating complex customer-facing technology contracts with enterprise customers.
Drafting and negotiating enterprise commercial SaaS agreements, including MSAs, SaaS subscription agreements, DPAs, BAAs, partner/channel agreements, professional services agreements, SOWs, SLAs, vendor agreements, and related documentation.
Ensuring contracts align with corporate policies, revenue recognition requirements, internal processes, and risk tolerances.
Leading strategic and cross-functional projects in support of Commercial Legal Team objectives.
Working cross-functionally to draft terms for new products and services. Assisting in the creation of contract templates, playbooks, guides, and policies. Partnering with internal stakeholders to provide general commercial legal services and commercially driven legal advice.
Advising business teams on regulatory considerations, including data privacy, security, and AI-related matters.
What we’re looking for
Bring 7+ years PQE, including at least five years of in-house experience within a SaaS environment
Demonstrate extensive experience drafting and negotiating complex enterprise commercial contracts within SaaS or cloud-based organizations, including knowledge of revenue recognition considerations.
Show a proven ability to identify and implement contract process improvements while managing multiple stakeholders and shifting priorities in a fast-paced environment.
Possess strong knowledge of GDPR, DORA, international data privacy and security laws, and related contract provisions, with familiarity advising on artificial intelligence concepts.
Communicate clearly and empathetically, delivering succinct, commercially focused legal advice while working both autonomously and collaboratively across multidisciplinary teams.
