You'll be joining our Carta Law team, specifically within the Contracts - North Americas function.
Our Contracts team manages the full lifecycle of commercial contracts for clients – from first review through to execution. You'll be the direct day-to-day contact for sophisticated investment fund and asset manager clients, working alongside fellow lawyers and paralegals. This team delivers high volumes of pre-M&A contract work at speed, supported by AI-backed tools including Carta's proprietary platform, Ava.

- Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times
- Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
- Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations
- Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
- Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools
We are looking for someone who is:
- Commercially minded and client-focused. You communicate legal advice crisply and concisely, building strong relationships with sophisticated financial services clients.
- Experienced in transactional law. You have 4+ years of post law school corporate or transactional experience, with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).
- Familiar with financial services. You have experience working with asset managers, investment banks, or other financial services firms and understand their expectations.
- Law Degree and licensed to practice. You are licensed to practice law in the Americas (US/Canada).
- Tech-savvy and adaptable. You are comfortable working with and evolving a legal technology suite (e.g. AI tools, HighQ), and an interest in legal tech or AI is a strong plus.
- A self-starter who owns their work. You thrive in a fast-paced environment, prioritize effectively, and are always looking for ways to improve and innovate.
Carta’s compensation package includes a market competitive salary, equity for all full time roles, exceptional benefits, and, for applicable roles, commissions plans. Our expected cash compensation (salary + commission if applicable) range for this role is:
- $126,000 - 157,600 CAD in Toronto
