The SEC Attorney will support a broad range of U.S. securities and corporate law matters. Primary internal clients will include Finance, Accounting, Investor Relations, HR/Executive Compensation, Corporate Communications, and Treasury. This position reports to a VP of Legal and is located at our Corporate HQ in Austin, TX.
What a typical day looks like:
- Support the preparation, review and filing of the Company’s SEC filings and reports, including Forms 10‑K, 10‑Q, and 8‑K
- Support the annual proxy statement and annual shareholders meeting workstream (including coordination of inputs, internal reviews, and drafting support as needed)
- Support Section 16 compliance for directors and officers, including Forms 3/4/5 coordination and review support
- Help administer insider‑trading compliance processes (e.g., trading windows/blackouts, pre‑clearance) and support 10b5‑1 plan administration/review workflows.
- Partner cross‑functionally with Finance, Accounting, Investor Relations, HR/Executive Compensation, Corporate Communications, Tax, and Treasury to support public‑company disclosure and governance needs
- Support legal entity management tasks, and routine subsidiary governance (minutes/consents, officer/director updates, registered agent/statutory rep coordination)
- Support Board and committee processes, including preparation/review of materials (presentations, consents, resolutions) and assistance with meeting logistics/minutes where appropriate
- Assist with corporate governance maintenance, including periodic updates to governance documents and policies (e.g., committee charters, governance guidelines, and related governance documentation)
- Provide legal support to Treasury on corporate finance and bank-related matters (e.g., letters of credit, guarantees, intercompany loans, bank KYC support), including coordinating inputs among internal stakeholders and outside counsel
- Contribute to process improvement (templates, checklists, playbooks, training materials) supporting recurring SEC/governance/entity workflows
- Special projects as requested
Here's what we're looking to add to our team:
- Must be an attorney qualified to practice law in at least one U.S. state.
- Must have excellent academic credentials including a law degree from a reputable law school.
- ~4-6 years’ experience practicing as an attorney with a top law firm or public company legal department or a combination thereof.
- Experience working on periodic reporting and disclosure (10‑K/10‑Q/8‑K) and/or proxy statement drafting/review
- Familiarity with Section 16 reporting and insider trading compliance concepts (including 10b5‑1 plan workflows
- Working knowledge of corporate governance frameworks, including exchange listing standards, governance documentation, and board/committee practices
- Experience working on treasury matters including letters of credit, parent guaranties, and intercompany loans a plus.
- Excellent interpersonal skills, business judgment, strategic thinking, superior work ethic, and highly team-oriented.
- Strong written and verbal communication skills with the ability to interact with people at all levels in a complex matrix organization.
- Strong project management and communication skills; comfort managing multiple deadlines with cross‑functional stakeholders
- Flexibility and a willingness to work on a broad variety of contractual and related matters.
