As Product Counsel, you will report directly to the Senior Director, Intellectual Property and will support and partner with the engineering, supply chain, and manufacturing teams to structure, draft, and negotiate supply agreements, prototype arrangements, testing services, material transfer agreements, non-disclosure agreements, and joint development agreements. This role will also as counsel internal business clients on matters and issues across the technology development, supply chain, and procurement spectrum. This position may be based in the Company’s San Jose headquarters or in its Newark, Delaware facilities.
Role & Responsibilities
• Work closely with engineering teams to ensure proper contractual protection relating to the development and implementation of new technologies and products
• Provide legal advice to supply chain, manufacturing, and engineering teams on joint development agreements, manufacturing agreements, strategic sourcing and supply agreements, indirect sourcing, non-disclosure agreements, prototype agreements, material transfer agreements, cooperative research and development agreements, university agreements, and other IP sensitive arrangements.
• Understand and advise on legal implications of data handling practices and AI components of software utilized by the Company, including Open Source
• Identify potential legal risks for new products, components and potential partnerships and develop risk mitigation strategies.
EDUCATION AND EXPERIENCE
• Degree in Law (JD) from an accredited law school.
• Member in good standing of at least one state bar association.
• 10 or more years of legal experience as a technology transactions
attorney (with at least four years at a law firm); in-house experience with
a high-tech manufacturing company is a plus.
• Experience and understanding of Artificial Intelligence systems is a plus.
• Intellectual property background and technology licensing experience is
required.
• IP litigation, patent prosecution and/or commercial contract litigation
experience is a plus.
• Global supply chain and manufacturing experience is a plus.
• International experience is a plus
