The Opportunity:
As Legal Counsel, you will support the Client Legal team by reviewing, negotiating and managing both U.S. and international contracts relating to the ongoing offering of Hamilton Lane’s investment products. You will be highly organized with exceptional communication and negotiation skills and possess a keen attention to detail.  Position may be a good fit for a seasoned corporate lawyer looking for a steady workflow and predictable lifestyle. Willing to discuss flexible hours/part-time accommodation.

Your responsibilities will be to:

  • Review, revise and negotiate a broad range of both U.S. and international agreements, including investment fund distribution agreements, platform agreements, investor agreements such as limited partnership agreements, fund transfer documentation, and other fund-related contracts,
  • Understand how the contracts and negotiated terms fit into Hamilton Lane’s broader fund operations and business objectives. HL is willing to offer training to an attorney with general corporate contract negotiation experience who is unfamiliar with the funds space in particular;
  • Have, or have a willingness to acquire, a familiarity with local regulations governing the marketing and distribution of investment funds globally;
  • Manage outside counsel in the negotiation of more complex agreements;
  • Oversee one or more paralegals in the maintenance of organized records of agreements on internal systems;
  • Collaborate and work efficiently with legal team members and colleagues from other departments;
  • Advise stakeholders on the company’s threshold positions and risks associated with contracts;
  • Provide clear and practical advice;
  • Know when to escalate issues; and
  • Special projects as assigned.

Your background will include:

  • JD from an accredited law school;
  • Licensed to practice law in one or more US states; and
  • Minimum 4-6 years’ experience or more (law firm or in-house).  Responsibilities can be tailored to experience level.
  • Ability to review, revise, and negotiate a wide range of commercial and transactional agreements;
  • Attention to detail;
  • Professional maturity, operating with integrity, and exercising good judgment;
  • Ability to function well in team settings – team player with emphasis on collaborative skills across levels, backgrounds, and jurisdictions;
  • Experience with managing a substantial volume of agreements; and
  • Exemplary communication and organization skills.

Skills Required

  • Juris Doctorate from an accredited U.S. law school
  • Licensed to practice in at least one U.S. state
  • 4-7 years' experience as a practicing attorney (asset management, fund formation, private equity, or corporate law experience preferred)
  • Working knowledge of corporate, partnership and private markets law
  • Willingness to support and learn select non-U.S. regulatory matters
  • Registered 40 Act and global fund formation experience
  • Excellent communication skills to interface with clients, colleagues, outside counsel and other parties
  • Sound practical judgment with commercial, client-service orientation and efficiency focus
  • Proven analytical and organizational skills with strong attention to detail
  • Strong interpersonal skills, proactive work ethic, collaborative team player and high integrity
