Janux Therapeutics is seeking a paralegal to support the Legal Department across a broad range of corporate, securities, contracts, and compliance matters, with a focus on the unique needs of a public, clinical‑stage biotechnology company. This role requires exceptional organizational skills, attention to detail, and the ability to work independently in a fast‑paced, collaborative environment.
The ideal candidate brings strong experience in contract administration, corporate governance and legal operations, and is comfortable partnering cross‑functionally with Finance, HR, Business Development, and external counsel.
ESSENTIAL FUNCTIONS AND RESPONSIBILITIES
- Assist with drafting, reviewing, and redlining a broad range of agreements, including NDAs/CDAs, MSAs, SOWs, consulting, and vendor agreements.
- Manage the contract lifecycle management process, including intake, execution, tracking, and renewals.
- Support corporate governance activities, including preparation of Board of Directors and committee materials, resolutions, minutes, and written consents.
- Assist with preparation and review of SEC reporting documents and processes (e.g., Forms 10‑K, 10‑Q, 8‑K, and Section 16 filings).
- Maintain and manage corporate records, entity documentation, and governance files.
- Track legal department deadlines, calendaring, and document management.
- Provide due diligence support for significant transactions, including financing, partnering and collaborations.
- Support legal input on HR policies, compliance initiatives, and internal processes.
- Partner with cross‑functional stakeholders to support business needs.
- Support continuous improvement of legal operations by identifying gaps, proposing solutions, and collaborating with cross functional teams to implement enhancements.
EDUCATION, EXPERIENCE, KNOWLEDGE, SKILLS, AND ABILITIES
- Bachelor’s with 5+ years of experience as a paralegal, preferably supporting the life science industry.
- Familiarity with SEC filings and public company compliance requirements.
- Experience with corporate governance and contract administration.
- Strong organizational skills and exceptional attention to detail.
- Ability to handle confidential information with discretion and sound judgment.
- Proficiency with Microsoft Office and legal document management systems.
