We are seeking an experienced and highly organized Paralegal to provide comprehensive legal and operational support to the Head of Legal and broader leadership team. The ideal candidate will have at least five years of experience supporting a corporate General Counsel within a dynamic, fast-paced, and multi-stakeholder environment.
This individual will demonstrate sound judgment, exceptional discretion, and the ability to manage complex legal workflows across corporate governance, commercial contracting, compliance, and cross-functional initiatives. Success in this role requires meticulous attention to detail, proactive ownership of responsibilities, and the confidence to engage effectively with senior executives and external counsel.
This is an in-office role.
- Support corporate governance activities, including board materials, resolutions, minutes, and recordkeeping.
- Maintain corporate records, entity filings, and compliance calendars across jurisdictions.
- Coordinate annual reports, registrations, and state filings.
- Draft, review, and manage routine commercial agreements, NDAs, vendor contracts, and services agreements.
- Maintain contract management systems and ensure proper documentation and tracking.
- Partner cross-functionally to streamline contract processes and ensure timely execution.
- Support compliance initiatives, including policy management and regulatory tracking.
- Assist in internal audits and risk mitigation efforts.
- Coordinate with external counsel on litigation, employment matters, and regulatory issues.
- Act as a key liaison between Legal and Finance, HR, Operations, and Executive Leadership.
- Prepare summaries, briefing materials, and reports for senior leadership.
- Track legal budgets, outside counsel invoices, and matter management.
- Develop and implement scalable legal workflows and templates.
Identify opportunities to improve efficiency, documentation, and internal legal education.
Required
- 5+ years of experience supporting a Corporate General Counsel or senior in-house legal team.
- Strong knowledge of corporate governance, commercial contracts, and compliance practices.
- Experience managing legal documentation, board materials, and entity filings.
- Exceptional organizational skills and attention to detail.
- Ability to handle sensitive and confidential information with discretion.
- Excellent written and verbal communication skills.
- Paralegal certification.
- Highly organized and detail-oriented.
- Proactive and solutions-driven.
- Comfortable operating independently with minimal oversight.
- Able to manage competing priorities and deadline.
Preferred
- Experience in a high-growth, venture-backed, or multi-entity organization.
- Familiarity with legal operations tools (e.g., DocuSign, Carta).
- Corporate governance processes run smoothly and on schedule.
- Contracts are managed efficiently with reduced turnaround time.
- Legal risk is proactively identified and mitigated.
- Cross-functional teams view Legal as responsive and strategic.
Compensation:
- $80,000-$105,000 DOE
- Comprehensive medical, dental and vision benefits
