About the role:
Nintex is seeking an experienced paralegal with outstanding organizational capabilities and attention to detail, who thrives on learning new things and driving projects to completion. You will provide multi-disciplinary paralegal support to the Legal & Compliance team and serve as a key contact for teams across the company. An ideal candidate will love organization and process improvement, keeping the proverbial trains running on time across multiple areas, including commercial contracting, compliance, and corporate subsidiary governance. You must have strong analytical and creative problem-solving skills, with excellent discretion, judgment, and the ability to effectively communicate outcomes to a wide variety of internal audiences.
Your contribution will be:
Commercial
- Prepares correspondence and legal documents, including compliance certification requests and contract termination notices.
- Intakes and refers to inside counsel legal matters submitted by Nintex’s go-to-market teams to the legal team.
- Take the lead on completion of the legal portions of annual representations and certifications and supplier/vendor onboarding requests.
- Help build and improve forms, policies, and playbooks to improve commercial legal operations as Nintex continues to grow and expand in global markets.
- Manage records for commercial team and ensure that accurate data is entered and maintained in our contracts lifecycle management tool and that executed contracts are received and stored in our contracts repository
Corporate
- Coordinate and prepare international subsidiary board and board committee meetings
- Monitor and manage annual filings for our international subsidiaries.
- Help manage important transaction documents, including coordinating the review and execution of intercompany agreements
- Manage corporate records and help coordinate with finance and regulatory teams on various requests in connection with our periodic filings and regulatory examinations
- Manage special corporate projects, including new entity formation
- Help with the filing of registrations and similar documents with government agencies
- Work with our internal business, counsel, finance and compliance teams, as well as with external advisors and experts
- Manage projects effectively, with a team-oriented approach
- Prepare documentation in support of equity issuances and repurchases. Coordinate with Nintex finance and HR in completion of equity issuances and repurchases, including updates to the equity software platform (Carta).
Legal Department Operations
- Partner with the General Counsel to ensure projects/processes are moving forward, deadlines are being met, and the leadership team is apprised of status on projects or initiatives.
- Coordinate planning related to the legal team’s use of technology, services, and processes, including existing and potential technology/process approaches.

- Strong familiarity with contracting process and commercial contracts.

- Demonstrated experience approaching problems creatively and analytically in order to drive outcomes for the business.
- Intellectual curiosity and strong desire to create and improve team and cross-functional processes and organization.
- Sound judgment and an ability to handle confidential matters with discretion.
- Client-service mentality, with a focus on responsiveness and enabling various parts of the business.
Education & Experience:
- Bachelor’s degree in a relevant field
- 5+ years of experience working in an in-house legal department at a technology company.
- Experience with or interest in legal operations
Preferred:
- Familiarity with a complex technology business with global operations, including knowledge of privacy, record retention, Anti-Money Laundering and financial crimes, intellectual property, vendor risk management/contracting, is preferred, but not required.
- Proven ability to use data and data-driven methods to drive better decision making
- Demonstrated ability to work effectively and collaboratively within a growing legal team and cross-functionally with members at all levels of the organization

Target Compensation Range (US ONLY): $85k-105k USD annually. On target compensation refers to the base salary and applicable variable target for this role. The range is an estimate, base pay will ultimately be decided at the offer stage, based on an individual candidate's skills and experience aligned with the needs of the role. Base pay may vary based on several factors including geographic location, role specific qualifications, and seniority.
