Job Description:

Position Summary 

Sibelco is seeking an experienced and highly motivated Paralegal to support its Legal Department in managing a broad range of corporate governance, litigation, compliance, commercial, and legal operations matters across its High Purity Quartz ("HPQ") and Glass Recycling North America ("GRNAM") businesses. Reporting to the VP Legal, Americas and working closely with in-house counsel and business leaders, this role will serve as a key legal operations resource, helping the Legal Department deliver practical, business-focused legal support across the organization. 

The Paralegal will have primary responsibility for corporate governance administration, entity management, legal hold management, litigation support, legal spend management, reporting and analytics, contract management systems, and legal operations initiatives. This position requires strong organizational, project management, technology, and communication skills, as well as the ability to manage multiple priorities in a fast-paced corporate environment. 

Key Responsibilities 

Corporate Governance & Entity Management 

  • Serve as the primary administrator of the Company's corporate governance function for multiple legal entities. 

  • Maintain corporate records, minute books, governance databases, resolutions, board and shareholder minutes, written consents, committee documentation, and organizational records. 

  • Coordinate board, committee, and shareholder meetings, including scheduling, preparation and distribution of meeting materials, maintenance of meeting records, and tracking follow-up actions. 

  • Support corporate transactions, entity formations, dissolutions, restructurings, officer and director changes, and related corporate filings. 

  • Coordinate annual reports, business registrations, and other entity compliance requirements. 

  • Maintain and enhance governance processes and documentation to support legal and regulatory compliance. 

Litigation, Claims Management & Legal Holds 

  • Administer the Company's legal hold program, including issuance, tracking, acknowledgements, periodic audits, custodial communications, releases, and preservation documentation. 

  • Partner with Information Technology, Human Resources, Records Management, and outside counsel to ensure effective implementation of legal preservation obligations. 

  • Support litigation, arbitration, regulatory investigations, and pre-dispute matters under attorney supervision. 

  • Coordinate document collection efforts, fact development, discovery responses, subpoena responses, and e-discovery activities. 

  • Maintain litigation and claims databases, matter files, docketing systems, and reporting dashboards. 

  • Coordinate with outside counsel and internal stakeholders to facilitate efficient management of claims, disputes, and investigations. 

  • Track and administer claims involving insurance matters, vendor bankruptcies, class actions, and other dispute-related matters. 

Legal Operations & Budget Management 

  • Manage Legal Department spend reporting, budgeting, forecasting, and tracking of actual performance against budget. 

  • Review, analyze, and process outside counsel and vendor invoices for compliance with billing guidelines and engagement terms. 

  • Monitor legal spend trends and develop reports and dashboards to assist leadership in managing resources and identifying cost-saving opportunities. 

  • Develop and maintain KPIs, metrics, and dashboards relating to legal spend, litigation, contract management, governance activities, and other departmental initiatives. 

  • Support implementation and optimization of legal technology platforms, workflow tools, document management systems, contract lifecycle management systems, and AI-enabled legal solutions. 

  • Lead or support legal operations projects focused on efficiency, automation, process improvement, and knowledge management. 

Commercial Contracts & Contract Management 

  • Serve as a key champion of delegation of authority, signatory authorization, and contract governance processes. 

  • Administer and promote adoption of the Company's contract lifecycle management system and related contract management tools. 

  • Maintain contract repositories, templates, metadata, reporting capabilities, and system workflows. 

  • Provide training and support to business stakeholders on contracting processes, contract management tools, and legal best practices. 

  • Track execution status and assist with contract administration activities as needed. 

Legal Department & Business Support 

  • Support legal due diligence efforts, audits, compliance initiatives, special projects, and strategic business transactions. 

  • Conduct legal and factual research and prepare summaries, reports, presentations, and other supporting materials. 

  • Assist attorneys with internal investigations, policy development, compliance initiatives, and day-to-day legal support. 

  • Maintain highly organized, accurate, and confidential legal records and information. 

  • Collaborate effectively with attorneys, business leaders, and external advisors to facilitate timely and practical legal support. 

Qualifications 

  • Bachelor's degree, Associate's degree, Paralegal Certificate, or equivalent combination of education and experience. 

  • 7-10+ years of paralegal, legal operations, corporate governance, litigation support, or related legal experience. 

  • Significant experience supporting an in-house legal department, corporate legal function, or sophisticated law firm practice. 

  • Demonstrated experience managing legal holds, document preservation processes, and e-discovery activities. 

  • Experience supporting corporate governance processes, board and committee activities, and entity management. 

  • Experience reviewing legal invoices, managing budgets, forecasting legal spend, and preparing management reports. 

  • Strong understanding of litigation processes, legal documentation, records management, and legal research methodologies. 

  • Excellent written, verbal, organizational, and project management skills. 

  • Ability to manage multiple priorities independently while maintaining exceptional attention to detail. 

  • Sound judgment, professionalism, and discretion in handling highly confidential information. 

Technical Skills 

  • Advanced proficiency with Microsoft 365, including Excel, Power BI, SharePoint, Teams, and Copilot. 

  • Experience with legal hold, e-discovery, records management, matter management, and docketing platforms. 

  • Experience with contract lifecycle management systems and document management platforms. 

  • Proficiency with DocuSign, Adobe, legal AI tools, and legal operations technology. 

  • Ability to develop meaningful dashboards, metrics, and reporting tools to support departmental decision-making. 

Preferred Experience 

  • Experience supporting a multinational organization with numerous legal entities. 

  • Experience in manufacturing, mining, industrial, recycling, energy, chemicals, or other highly regulated industries. 

  • Experience supporting mergers and acquisitions, restructurings, and post-acquisition integration activities. 

  • Familiarity with CSC, CT Corporation, Diligent Entities, Legal Tracker, Onit, TeamConnect, Relativity, or similar systems. 

  • Experience managing outside counsel relationships and legal service providers.
