Summary

We are seeking a detail-oriented Paralegal to support our legal team with contract management, routine

contract and NDA review, corporate governance, and regulatory compliance matters. The ideal candidate

is organized, discreet, and comfortable managing a high volume of documents while working closely with

attorneys and cross-functional business teams.

Key Responsibilities

  • Draft, review, and redline non-disclosure agreements (NDAs), and standard commercial contracts using approved templates and playbooks, escalating non-standard terms to supervising counsel.
  • Help establish and implement a contract management system, including defining intake processes, templates, and workflows to standardize how contracts are handled across the organization.
  • Manage the full contract lifecycle: intake, tracking, execution, and storage, including maintaining the contract management system and ensuring records are accurate and up to date.
  • Track key contract dates and obligations (renewals, expirations, termination windows) and provide timely reminders to relevant stakeholders.
  • Assist with corporate governance work, including preparing board and committee meeting materials, drafting resolutions and minutes, and maintaining minute books and corporate records.
  • Support entity management, such as maintaining good standing across jurisdictions, coordinating annual filings, and preparing formation and dissolution documents.
  • Support regulatory compliance efforts, including maintaining compliance records and policies, assisting with regulatory filings, and helping monitor adherence to applicable laws and regulations.
  • Conduct basic legal research and prepare summaries to support attorneys on corporate and compliance matters.
  • Coordinate signature collection and execution using e-signature platforms.
  • Respond to internal requests from business teams regarding contract status and standard terms.
  • Support due diligence efforts for corporate transactions by organizing and reviewing documents.
  • Coordinate with outside IP counsel on intellectual property matters as needed, including tracking key deadlines and maintaining internal IP records

Requirements

Qualifications

  • Paralegal certificate or bachelor's degree; equivalent relevant experience considered.
  • 3+ years of paralegal experience, preferably in a corporate legal department or law firm corporate practice.
  • Familiarity with NDAs, standard commercial agreements, corporate governance, and regulatory compliance processes.
  • Strong organizational skills and attention to detail, with the ability to manage multiple deadlines.
  • Proficiency with contract management systems, e-signature tools, and Microsoft Office.
  • Excellent written and verbal communication skills, and sound judgment in handling confidential information.

Preferred

  • Experience with a contract lifecycle management (CLM) platform.
  • Experience implementing a contract management system.
  • Exposure to entity management software and multi-jurisdiction filings.
  • Familiarity with IP administration, particularly trademark filings and IP records.
  • Experience supporting regulatory compliance in a relevant industry.
  • Notary commission (or willingness to obtain)

Benefits
  • Comprehensive compensation package includes base salary + RSUs. Salary range for this role is $100,000 to $160,000. Base salary will be determined based on knowledge, experience, and education.
