Diesel Direct is seeking an experienced, detail-oriented Part-Time Corporate Paralegal to support the company’s legal, contractual, and corporate administrative functions. This position will assist with the preparation, administrative review, organization, tracking and maintenance of contracts and legal documents, while also supporting corporate governance, entity management, and recordkeeping.

The ideal candidate has mid-level paralegal experience, strong organizational skills, excellent judgment, and the ability to manage confidential and time-sensitive matters in a fast-paced, multi-entity business environment.

Essential Duties and ResponsibilitiesContracts and Legal Documents
  • Assist with drafting, proofreading, revising, tracking, and formatting contracts, agreements, amendments, notices, and other legal documents.
  • Coordinate the circulation, execution, and storage of contracts and related documentation.
  • Maintain the company’s contract management system, tracking spreadsheets, and electronic legal files.
  • Monitor contract renewal dates, expiration dates, notice requirements, and other important deadlines.
  • Prepare standard agreements using approved company templates.
  • Review documents for completeness, consistency, required signatures, supporting materials and compliance with approved company templates and document-control procedures.
  • Coordinate with internal departments to obtain information needed to prepare or finalize agreements.
  • Assist with due diligence requests, document collection, and transaction-related legal projects.
  • Maintain confidentiality of contracts, business information, employee information, and privileged legal communications.
Corporate Records and Administration
  • Maintain corporate records for Diesel Direct and its affiliated entities.
  • Organize and maintain articles of incorporation, bylaws, operating agreements, resolutions, meeting minutes, ownership records, and related documents.
  • Assist with preparing written consents, corporate resolutions, officer certificates, and other governance documents.
  • Maintain current lists of legal entities, officers, directors, registered agents, and authorized signers.
  • Assist with annual reports, entity renewals, corporate filings, and other recurring administrative requirements.
  • Coordinate document signature requests through electronic signature platforms.
  • Maintain organized electronic and physical legal files according to company record-retention practices.
  • Respond to internal requests for corporate documents and business records.
  • Assist with gathering documents for audits, financing requests, acquisitions, litigation, or other business matters.
  • Communicate with outside counsel, registered agents, vendors, and government agencies as directed.
  • Track legal invoices, engagement letters, and outside counsel matters when requested.
General Legal Support
  • Conduct basic legal and business research under the direction of legal counsel or management.
  • Prepare summaries, correspondence, reports, and document indexes.
  • Help develop and maintain legal department procedures, templates, calendars, and tracking systems.
  • Identify missing documentation, approaching deadlines, and potential administrative concerns and escalate them appropriately.
  • Provide administrative support for special legal, acquisition, compliance, and corporate projects.
  • Perform other related duties as assigned.
Required Qualifications
  • Associate degree, bachelor’s degree, or paralegal certificate from an accredited institution.
  • At least three to five years of paralegal, corporate legal assistant, contract administration, or related experience.
  • Experience preparing and maintaining contracts and corporate governance records.
  • Strong knowledge of legal document formatting, file management, and administrative procedures.
  • Proficiency with Microsoft Office applications (Word, Excel, Outlook, and PowerPoint), Adobe Acrobat, and electronic signature platforms.
  • Strong written and verbal communication skills.
  • Excellent attention to detail, organization, proofreading, and deadline-management abilities.
  • Ability to manage multiple assignments independently and appropriately prioritize urgent matters.
  • Ability to exercise discretion and maintain strict confidentiality.
  • Ability to work effectively with executives, managers, employees, outside counsel, and external business partners.
Preferred Qualifications
  • Experience working in a corporate legal department or supporting multiple affiliated legal entities.
  • Experience with contract-management or entity-management software.
  • Experience supporting mergers, acquisitions, due diligence, corporate transactions, or business integrations.
  • Familiarity with transportation, logistics, fuel distribution, energy, or other regulated industries.
  • Notary public commission or willingness to obtain one.

Work Environment and Physical Requirements

This position generally operates in a professional office or remote-work environment. The employee must be able to regularly use a computer, telephone, and other standard office equipment. The position may require prolonged periods of sitting, reviewing documents, and working at a computer. The employee may occasionally be required to lift or move files or office materials weighing up to 20 pounds.
