The Opportunity:
TJX has an opportunity for a Paralegal II to join our fast-paced, highly collaborative legal department supporting the Securities & Corporate Governance and Compensation & Benefits teams on corporate governance and compensation-related matters. The position will be responsible for supporting a wide range of legal and governance matters, including maintenance of subsidiary records, supporting Board and Committee processes, market and legal research, and ongoing and project-based work as business needs arise. This is a hybrid position which requires a minimum of 2 days per week on site at our Framingham, MA headquarters.
What You Will Do:
This paralegal position requires a high degree of organization and the ability to independently execute against established priorities and processes, with responsibility for managing recurring deliverables, tracking work in process, and proactively communicating status and deadlines. This visible role will work with the members of TJX’s Legal Department and others across the TJX global organization functions, including Finance and Human Resources, to support a variety of topics, which may include:
- Meticulous entity recordkeeping for our domestic and foreign subsidiaries in a range of jurisdictions
- Drafting resolutions, minutes, certificates, authorizations and delegations for a range of legal entities
- Supporting full entity lifecycle, including formations, dissolutions, and restructurings
- Coordinating with outside advisors and international teams to assist with statutory and compliance requirements for our foreign entities
- Supporting finance / banking documentation requests and intercompany transactions
- Conducting legal and market research in compensation and governance areas
- Assisting with compensation-related matters and other legal documentation and disclosure
- Managing a range of legal projects, including recurring deliverables tied to governance, reporting, and compliance cycles
- Responding to information requests and other matters, as needed
Who We Are Looking For:
- 3+ years of experience within a large law firm corporate practice area or in-house corporate legal team; Paralegal certificate preferred
- Experience with formation and maintenance of various legal entities (corporations, LLCs, etc.)
- Familiarity with general corporate governance, statutory reporting, and compliance processes; public company experience a plus
- Exceptional organizational skills with meticulous attention to detail and timelines
- Comfort working in a complex, fast-paced environment, able to prioritize, follow up, and adapt to changes, delays, and multiple, shifting priorities
- Thrive working in a collaborative, team environment
- Solution-oriented with creative problem-solving ability
- Excellent written and verbal communication skills, with the ability to provide clear, proactive status updates and escalate issues as needed
- Proficient in use of Microsoft Office applications and Adobe / PDF managers, willing to learn new technology as needed to support department needs
- Experience with electronic Board book platforms, CounselLink a plus
- Notary Public or willingness to become one
