The Corporate Paralegal provides legal, contractual, and administrative support to the organization's contracting and legal functions. This position is responsible for supporting contract management activities, maintaining legal and contract records, reviewing vendor compliance documentation, assisting with legal processes, and preparing legal documents for attorney review. The role works closely with internal stakeholders and external business partners to support contract administration, corporate transactions, regulatory responses, and other legal operations in a fast-paced, collaborative environment requiring strong judgment, attention to detail, and organizational skills.

Responsibilities:

  • Maintain internal contract databases and legal records.
  • Review and approve vendor insurance documents to ensure compliance with contractual requirements.
  • Review, draft, and negotiate standard non-disclosure agreements (NDAs) within established guidelines.
  • Proofread, edit, and format legal documents and agreements.
  • Prepare and revise drafts of legal documents for attorney review.
  • Support merger and acquisition (M&A) diligence reviews and related document management activities.
  • Respond to subpoenas and other court-ordered requests for production under appropriate supervision.
  • Assist attorneys with collections, claims management, and other legal matters.
  • Track contract execution status, renewal dates, and other contractual obligations.
  • Maintain organized legal files and documentation in accordance with company record retention requirements.
  • Coordinate with internal stakeholders and external business partners regarding contract and legal documentation requests.
  • Perform general administrative and legal support tasks.
  • Perform other duties and special projects as assigned.
Qualifications

Required Experience and Skills:

  • 1-3 years of relevant legal, contract administration, or corporate support experience.
  • Associate degree, Paralegal Certificate, or equivalent combination of education and experience.
  • Proficiency in Microsoft Office Suite, including Word, Excel, and Outlook, and Adobe Acrobat.
  • Strong organizational skills, attention to detail, and sound judgment.
  • Strong critical thinking and problem-solving skills with the ability to evaluate and resolve issues effectively.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple projects and competing priorities while meeting deadlines.
  • Ability to work independently with minimal supervision.
  • Ability to maintain accurate records and handle sensitive information with discretion and confidentiality.
