The Senior Corporate Counsel is responsible for providing a broad range of advanced-level corporate secretarial, governance, legal operations and other support in the Netherlands, primarily in support for the Kraft Heinz entities located in the Netherlands, collaborating with other members of the Kraft Heinz team, including Legal, Tax, Controllership, and managing external service providers in furtherance of these responsibilities. This role will manage important and complex matters, collaborate effectively across teams, and have the technical skills and professional maturity to anticipate and initiate legal tasks independently.

Corporate Governance/Global Subsidiary Management
• Serve as key coordinator for Kraft Heinz's subsidiary management database (Diligent) and manage quarterly subsidiary certification process to maintain accurate corporate records for Kraft Heinz entities based in the Netherlands (the "Dutch Entities"), other Kraft Heinz entities with nexus to the Netherlands and other Kraft Heinz entities within EPDM (the "Other Entities", and together with the Dutch Entities, the "Relevant Entities")
• Perform various subsidiary management duties for the Dutch Entities, including assisting with entity formations and dissolutions, internal restructurings, such as mergers and consolidations, corporate resolutions, meeting minutes and agendas, amendments to the entities' organization documents, and annual stockholder meetings
• Process notarization, apostille, and legalization of certain domestic and international corporate documents for the Dutch Entities and if appropriate, the Relevant Entities
• Provide information and documents for Know Your Client (KYC) processes and Uniform Beneficial Ownership (UBO) processes for the Dutch Entities and if appropriate, the Relevant Entities
• Prepare written consents and resolutions for a variety of Board (including management, supervisory and advisory boards) actions, secretary and incumbency certificates, and powers of attorney and maintain appropriate records, including minute books and charts for the Dutch Entities, and if appropriate, the Relevant Entities
• Support the planning and preparation of the Company's annual meeting of stockholders, including preparing meeting materials, managing relationships with external service providers, and overseeing the budget and invoice process for the Dutch Entities, and if appropriate, the Relevant Entities
• Support the preparation of Board and Committee meetings, including preparation of meeting agendas, minutes, maintenance of the Board portal, and coordination of meeting scheduling and logistics
Transactional Support
• Support various intercompany transactions, including intercompany financing transactions, global corporate restructuring projects, and cash repatriation matters for the Dutch Entities, and if appropriate, the Relevant Entities
• Support capital markets and other financing strategic transactions, including managing data rooms, responding to due diligence requests, and assisting with closing documents for the Dutch Entities, and if appropriate, the Relevant Entities
Legal Operations Support
• Acting as a Legal Operations Champion, provide ad hoc support to the Global Legal Operations team within the scope of large change projects or initiatives e.g. providing entity information for reports, assisting with user testing of new systems and processes
• Supporting the Legal Operations Team with scoping and design for enterprise-wide initiatives such as e-Signature and CLM
Education and Experience
• Bachelor's degree or higher with excellent academic credentials
• Appropriate legal qualification and/or experience in a law firm and/or corporate legal environment
• 5+ years relevant work experience
Skills and Abilities
• Excellent analytical skills, with demonstrated ability to analyze legal advice and then apply it to the business needs
• Excellent attention to detail and ability to track and manage multiple priorities
• Strong organizational and administration skills, flexibility, and ability to thrive in a fast-paced environment
• Excellent written, oral, and presentation skills with ability to speak to audiences of every level
• Demonstrated ability to interact effectively with a range of constituencies and levels within and outside of the company and to handle confidential information sensitively
• Proactive personality, eager to learn new areas of the law and committed to understanding the industry and the Kraft Heinz's business
