The Role

Join us as a Managing Legal Counsel

  • For an experienced US-qualified securities lawyer, this is a great opportunity to join our Treasury Funding and Disclosure team
  • You'll gain significant exposure across our businesses as you deliver our legal strategy on a variety of strategic projects and initiatives

  • You’ll work from home some of the time, but you’ll also spend a significant amount of time working from the office

What you'll do

As our Managing Legal Counsel, you’ll be providing legal advice and support across multiple business areas, including issuer-side debt and equity capital markets transactions and investor disclosure. You’ll make sure that your advice is accurate, readily understandable to non-lawyers, delivered on time, and remains commercial while minimising legal risks.

You’ll also support the Head of Treasury, Funding and Disclosure Legal to deliver the legal strategy across the bank. This will involve working with senior stakeholders across the bank.

Day to day, you’ll be:

  • Advising on a wide variety of capital and funding issues and liability management activities
  • Advising on investor disclosure, including in the preparation and on-going review of external risk factor disclosures and legal support on periodic and ad hoc market disclosures and announcements
  • Deputising for the Head of the team on matters of disclosure governance when required, including at internal governance committees
  • Advising on other Treasury or bank activities, including strategic projects
  • Striving for continuous improvement in the legal operating practices and processes, including identifying efficiencies, improvements, and opportunities to reduce costs

The skills you'll need

To join us in this role, you’ll need to be a qualified US attorney, and ideally be a qualified solicitor in England and Wales, with strong experience in debt capital markets and investor disclosure. You’ll also bring experience at a leading law firm or have equivalent in-house experience. 

On top of this, you’ll demonstrate strong and proven leadership skills, and solid industry knowledge of the legal and regulatory issues currently facing banks. You’ll also need knowledge and experience of advising SEC-registered entities on related US and, ideally also UK or European, market disclosure obligations and best practice.

Additionally, you’ll need:

  • The ability to recognise issues of strategic, legal or reputational importance and assess how they should be resolved
  • Strong commercial awareness and analytical skills
  • Strong interpersonal skills and the ability to build rapport and establish strong relationships with senior business colleagues, including in Treasury, Finance, Tax and Investor Relations
  • Knowledge of bank capital structure and regulation, such as regulatory capital, ideally in the UK and US, with an international outlook
  • Knowledge of bank treasury activities and the commercial and regulatory environment within which the bank operates
  • To be fluent in English, with excellent written and verbal communication skills
