Position Summary:
Provides legal support and guidance related to client and vendor contract negotiation and other contractual matters within the business. Serves as the point of contact for clients, consultants and suppliers on contractual matters for assigned service line(s). Acts as contractual intermediary between employees, vendors and clients, ensuring timely status, review, reconciliation, approval and execution of contracts.
Essential functions of the job include but are not limited to:
- Reviewing, drafting and negotiating all the commercial agreements between the business and their clients and vendors, including master services agreements, consulting agreements, independent contractor agreements, confidentiality agreements, work orders, change orders and other client or vendor contracts, and escalating complex issues to the corporate legal
- Providing guidance to business teams, including periodic (in-person or virtual) training programs for business teams, regarding operational implications of contract terms and best practice process.
- Researching and evaluating risk factors associated with business decisions and operations, and advising on possible legal issues
- Communicating with external and internal parties creating relationships of trust
- Keeping business stakeholders properly and timely informed of the progress and status of the contracts
- Keeping track of the contracting processes in the contract management and repository systems, and facilitating the signature process and uploading contracts
- Maintaining current knowledge of changes in business law, contracts legislation and other regulations
- Ensuring adherence to company policies, procedures and contracting
- Recognizing where processes can be improved and taking initiative to improve

Qualifications: Minimum Required:
- Minimum of 5 years relevant experience drafting, reviewing and negotiating commercial contracts, preferably in the life science or pharmaceutical industry
- Juris Doctor degree or equivalent from accredited law school
- Licensed attorney as appropriate for local jurisdiction

- Demonstrated willingness to listen and learn and proven ability to make and respectfully explain proper decisions (even when this leads to tough business discussions)
- Proficiency in MS Office and other business applications
- Must be able to read, write, speak fluently and comprehend the English language
Preferred:
- Contracting experience in pharmaceutical/biotechnology industry
- Utilization of contract management system and maintenance of contracts metrics
