Legal Counsel, Real Estate & Compliance
A day in the life
Prologis seeks a highly capable Legal Counsel to join our legal team in India, supporting the dynamic and fast-paced operations of a global organization. The ideal candidate will support risk management, transactions, real estate operations, and regulatory compliance within a complex, multinational environment for Prologis India. This role will be pivotal in enabling strategic growth, managing legal risk, and aligning internal policies with global business and regulatory requirements.
Key Responsibilities Include:
Transactional Support
- Execute and manage the legal and operational aspects of transactions, which are expected to primarily consist of domestic acquisitions but may include cross-border M&A.
- Support the legal team by collaborating with internal stakeholders and external advisors to devise processes and structures aligned with business goals.
- Assist in collaborating with various advisors, managing due diligence processes, and end-to-end closing of transactions.
Operational Legal Support and Risk Management
- Support various teams in day-to-day operations by providing legal input on contracts, service agreements, vendor negotiations, and risk management.
- Map and monitor outstanding obligations, liabilities under transaction contracts and commercial contracts across functions and ensure compliance.
- Identify gaps and suggest improvements to reduce operational risk.
- Design and implement robust legal processes for supporting the teams by creating templates, SOPs, managing workflows, and other logistics infrastructure.
- Draft, review, and update internal policies, SOPs, and corporate governance frameworks.
Ethics, Compliance & Governance
- Develop and lead implementation and monitoring of compliance programs, including anti-bribery, data privacy, sanctions, and ESG-related regulations.
- Monitor changes in legal and regulatory frameworks across key regions and adapt internal policies accordingly.
- Deliver internal training and awareness programs and monitor compliance across levels.
- Partner with Internal Audit to perform periodic risk assessments to identify, quantify and prioritize risks, analyze findings, propose action plans to mitigate risks, and supervise implementation of action plans.
- Prepare quarterly reports to advise internal management on relevant ethical issues and the compliance program in general.
Building blocks for success:
Required:
- Bachelor’s or Master’s degree in law (LL. B/LL.M) from a reputable institution.
- 5+ years of relevant legal experience.
- Demonstrated experience managing M&A and real estate transactions in a multinational setting.
- Strong commercial understanding of business operations and associated legal/regulatory issues.
- Excellent stakeholder management and communication skills.
- Ability to work independently and handle complex legal matters.
