Manager, Legal Counsel
Summary of the role:
The Manager, Legal Counsel position will provide legal assistance to Amadeus within the applicable laws and regulations, ensuring the company activities are compliant to International, European and national regulations, accordingly.
In this role you’ll:
Americas Airline Distribution & Metasearch:
This position will support the upstream Amadeus Travel Distribution business with the following activities:
- Formulate and implement the Amadeus’ airline distribution strategy in LATAM together with the North America Travel Distribution commercial organization and LEG senior management
- Draft and negotiate complex, high-value airline distribution contracts, with a special focus on LATAM airline customers.
- Provide timely and strategic legal advice and support to the upstream Travel Distribution commercial teams, with a special focus on LATAM airline customers.
- Draft and negotiate metasearch network/booking/search negotiations and contracts with both LATAM airlines and metasearch customers
Americas – Corporate:
- Support the Corporate Function in the Region to ensure company policies and industry best practices are respected.
- Ensure that intercompany agreements are in place and reflect the current corporate policies from central. Preparation of Board of Directors resolutions and Shareholder resolutions.
- Manage from the region, when applicable, the formation/dissolution/amalgamation of entities as directed from Madrid.
Americas Travel Sellers & Corporate IT:
- This position will support the downstream Amadeus Travel Distribution business with the following activities:
- Together with the Americas Travel Distribution commercial organization and LEG senior management, formulating and implementing Amadeus’ travel sellers distribution strategy in LATAM.
- Draft and negotiate contracts, including ones with Amadeus’ largest multinational travel seller customers..
- Draft and negotiate corporate travel IT direct agreements with corporate customers, with particular focus on supporting negotiations with key strategic customers in LATAM.
- Provide support and advice to the corporate travel IT business with responses to RFPs for corporate customers and government entities in LATAM.
- Provide timely and strategic legal advice and support to the downstream Travel Distribution commercial teams.
- Support the Travel Distribution strategy & business development team in building a rich ecosystem of technology solutions for the travel industry and the execution of Amadeus’ Go-To-Market strategy in LATAM.
- Develop, implement, train and oversee Amadeus Group policies and procedures regarding commercial, legal and regulatory matters, with adaptation to local market needs.
MetaConnect Business Support:
- Support achievement of business objectives of MetaConnect vis-à-vis metasearchers and airlines. Together with airline distribution strategy analyze expansion of metaconnect products to other travel sellers including OTAs.
Americas - with a focus on LATAM– General:
- Support the Amadeus Group Corporate Compliance team to strengthen the corporate governance of Amadeus Group companies and distribution partners in the Americas, with special focus on LATAM.
- Draft, negotiate and manage joint-venture, distributor and other commercial agreements.
- Structure transactions and analysis of relevant regulatory environment, including international sanctions, anti-trust and data protection.
- Liaise with external counsel and procure input and advice when supporting Amadeus’ business strategy.
- Claims handling for allocated areas including pre-claim, ongoing management, settlement, arbitration and litigation.
- Support the digital transformation of sales to service processes with focus on implementation and maintenance of contract lifecycle management tools.
- Support the North American LEG team on special projects ensuring timely and effective reporting of critical issues.
- Implement best practices to drive transformation, operational effectiveness and efficiencies in the LEG function in North America.
About the ideal candidate:
- Post-graduate Degree in Law.
- 8+ years’ experience in a law firm or multinational corporation
- Basic understanding of the travel and distribution industry
- Knowledge of MS Office Suite.
- English: written and oral fluency required for communication with internal stakeholders
- Negotiation, drafting and review of contracts and legal documentation.
- Project management, organization & planning skills
- Statistical and analytical skills, with high attention to detail; Conceptual thinking, strategic understanding and synthesis analysis.
- Written, oral and presentation skills.
- Ability to travel – 15 %
