The Manager, Company Secretariat serves as the primary leader for the Company Secretariat division across Telecel Ghana and its affiliated entities. This position is critical for delivering prompt, precise, and actionable guidance to the Board and executive leadership regarding corporate governance, legal compliance, and secretarial protocols. The incumbent is responsible for overseeing the efficient administration of governance frameworks, maintaining corporate documentation, facilitating Board and committee operations, managing regulatory submissions, and supervising external secretarial vendors to ensure full adherence to statutory laws, regulatory mandates, and industry best practices.

Responsibilities
  • Direct the Company Secretariat operations and deliver comprehensive secretarial support to the parent company and its subsidiaries.
  • Counsel the Board, its committees, and senior management on statutory obligations, governance duties, reserved powers, and relevant corporate governance standards.
  • Organize and facilitate all Board, committee, and shareholder gatherings, including Annual General Meetings; manage agenda distribution, documentation, attendance, minute-taking, and the tracking of action items.
  • Oversee the maintenance of statutory registers, minute books, governance files, constitutional charters, delegation matrices, and other corporate records with a focus on accuracy, security, and accessibility.
  • Track changes in legislation, regulations, and governance norms, evaluate their potential impact, and assist in formulating and executing necessary policies, procedures, and control mechanisms.
  • Guarantee the timely and complete submission of all statutory and regulatory filings, such as annual returns, director or officer changes, beneficial ownership data, resolutions, annual reports, and financial statements.
  • Administer corporate approvals, resolutions, powers of attorney, and certification processes, ensuring that all decisions are authorized by the correct governing bodies.
  • Detect and report corporate secretarial and governance risks, propose effective mitigation strategies, and monitor the execution of agreed-upon corrective actions.
  • Serve as the primary point of contact for regulators, external legal counsel, registrars, and other service providers, while overseeing outsourced secretarial functions to meet established standards for quality, cost, and delivery.
  • Deliver precise, efficient, and timely legal counsel and support concerning corporate, governance, commercial, and contractual issues aligned with the Company's strategic goals and the Secretariat's mandate.

Requirements
Requirements:
  • Possession of a Bachelor's degree and a Qualifying Certificate in Law issued by Ghana's General Legal Council.
  • Active membership in good standing with the Ghana Bar Association or an equivalent recognized legal professional body in Ghana.
  • A minimum of 10 years of experience in corporate law or private practice, featuring significant expertise in company secretarial functions and corporate governance, ideally within a multinational or regulated sector.
  • Holding a professional qualification in company secretarial or corporate governance, or membership in a recognized international professional organization, is preferred.
  • Demonstrated expertise in Ghanaian company law, corporate governance standards, statutory filing duties, and applicable regulatory environments.
  • Superior written and verbal communication abilities, with the capacity to articulate complex legal and governance concepts clearly and succinctly.
  • Proven proficiency in Board and committee administration, including agenda preparation, minute recording, resolution drafting, and follow-up tracking.
  • Exceptional legal drafting, analytical, problem-solving, and judgment capabilities, characterized by a practical and commercially oriented mindset.
  • Unwavering commitment to integrity, confidentiality, precision, and meticulous attention to detail.
  • Advanced stakeholder management and influence skills, demonstrating confidence when interacting with directors, senior executives, regulators, and external advisors.
  • Strong organizational skills to manage competing priorities, adhere to statutory deadlines, and enhance governance processes and controls.
  • Proven leadership experience in managing internal teams and external service providers to achieve specific deliverables and key performance indicators.

Skills Required

  • Bachelor's degree
  • Qualifying Certificate in Law issued by Ghana's General Legal Council
  • Active membership in good standing with the Ghana Bar Association or an equivalent recognized legal professional body in Ghana
  • At least 10 years of experience in corporate law or private practice
  • Significant expertise in company secretarial functions and corporate governance
