Senior Director, Corporate Legal

Micron's Legal Department is poised for growth and innovation, and we are seeking a Senior Director, Corporate Legal. The Senior Director, Corporate Legal is responsible for leading a high-performing team in support of the operational functions of the legal function. Reporting directly to SVP, General Counsel & Corporate Secretary, this position will lead several aspects of Micron's legal team while supervising several attorneys and other legal professionals. The work will be independent and proactive, partnering cross-functionally with teams such as Corporate Development, Accounting, Finance, Investor Relations, External Communications, and People.
What You'll Do:

  • Lead the team that provides legal support for (a) the preparation of 10-Ks, 10-Qs, 8-Ks, proxy statements and other SEC filings and reports; and (b) structuring, drafting, and negotiating term sheets for numerous actual and potential M&A, partnering, and other strategic transactions


  • Provide senior leadership as a key member of Micron's Legal Leadership Team (aka the Guardians of the Galaxy).


  • Serve as the principal legal partner for Micron's corporate development team and participate in shaping and implementing strategy and activities related to identifying, evaluating, and negotiating strategic collaborations and M&A


  • Partner with other members of Micron's legal team to support cross-functional projects and support activities designed to improve departmental processes and important strategic initiatives as we strive to be the raddest legal team in the universe!


  • Manage and support Micron's corporate governance program
    • This includes supporting the Board of Directors and engaging with stockholders on governance and ESG-related matters
    • Also includes support for annual stockholder meetings, including preparing agendas, scripts, presentations, and minutes


  • Manage securities law function, including preparing, reviewing, and filing registration statements, proxy statements, periodic and current reports, and Section 16 filings; ensuring compliance with SEC rules and regulations; working closely with and providing legal advice to Micron's Corporate Finance, Treasury, and Investor Relations teams; and managing program to prevent insider trading.


  • Collaborate with Micron's Corporate Finance and Treasury teams on capital markets transactions and provide legal advice and guidance concerning compliance with credit facilities and debt instruments


  • Partner with General Counsel and CFO on shareholder and investor relations matters, including Regulation FD compliance, earnings call materials, and providing strategic legal advice and guidance to senior management and the Board


  • With support from Micron's General Counsel, head of Legal Operations, People organization and Finance team, have ownership of and accountability to a budget for Micron's corporate legal team


What We're Looking For:

  • J.D. degree from an accredited law school, along with active membership in at least one state bar


  • 10+ years experience in corporate law, including M&A, capital markets transactions, securities law and/or executive compensation. The ideal candidate will have substantial experience working with boards of directors and the C suite


  • A servant leader with a desire to be a part of a strong, well aligned legal leadership team.


  • Consistent track record of building relationships across all levels and operating through influence, with the confidence to formulate, advocate, and drive ideas forward


  • Excellent interpersonal and communication skills, including the ability to collaborate, compromise, demonstrate diplomacy, and otherwise interact well with senior management


  • Highly disciplined, able to make independent decisions and work with limited supervision while excelling in a fast-paced, dynamic environment


  • Attentive to detail and able to produce quality work product


  • Able to handle and advance multiple projects in a multi-stakeholder environment


  • Inquisitive nature and comfortable challenging current practices


The US base salary range that Micron Technology estimates it could pay for this full-time position is:
$229,000.00 - $429,000.00
Our salary ranges are determined by role, level, and location. The range displayed on each job posting reflects the minimum and maximum target for new hire salaries of the position across all US locations. Within the range, individual pay is determined by work location and additional job-related factors, including knowledge, skills, experience, tenure and relevant education or training. The pay scale is subject to change depending on business needs. Your recruiter can share more about the specific salary range for your preferred location during the hiring process. Additional compensation may include benefits, discretionary bonuses and equity.
