We are seeking a corporate generalist who will play a lead role in supporting the commercial functions of our business: assisting on domestic and international M&A, modernizing our contracts and legal operations through policy, technology, and process improvements, and negotiating agreements to support our sales, alliance, and product teams.
You will work closely with D&B’s business units as well as the cross functional teams supporting those business units (including strategy, privacy and compliance, security, product, finance, and operations) to support corporate objectives, including M&A. You will partner with leaders in the legal department to streamline processes and develop and track key performance indicators. You will have client-facing responsibility for negotiating contracts of different types and spanning multiple industries.
Key Responsibilities
- Due diligence and commercial support for M&A transactions and integration
- Structure, draft, and negotiate commercial agreements
- Understand D&B’s products and capabilities across multiple lines of business
- Manage legal operations projects including legal matter management and contract lifecycle management initiatives
Key Requirements
- 7-10 years of relevant law firm or in-house work experience, including M&A
- Thorough knowledge of contracts and contract negotiation, preferably in SaaS and licensing
- Working knowledge of US and European privacy laws (e.g., GDPR, CCPA)
- Able to work independently to manage projects, coordinate resources, and oversee outside counsel
- Able to communicate clearly and efficiently to different audiences, and comfortable interacting and providing recommendations to senior business leaders
- Ability to thrive and deliver in a highly demanding, innovative and constantly changing corporate and regulatory environment
- Experience with legal technology and/or data visualization tools (e.g., Power BI) is a plus.
- JD from an ABA law school and admittance to practice in a US state with eligibility for a limited license for in-house counsel
