Legal and Compliance is responsible for managing all legal and regulatory matters, including contracts, corporate governance, general compliance, academic compliance, employment law matters, intellectual property, product counseling, government relations, and claims. The team includes dedicated teams that support every aspect of Coursera's platform, including university, enterprise and industry partnerships. You will play a key role in managing the company’s public company reporting obligations and corporate governance processes, as well as advising on M&A and strategic initiatives. In addition, you will assist with company-wide information governance and document retention projects.  

Responsibilities:

  • Manage SEC filings, including Forms 10-K, 10-Q, and 8-K, and proxy statement, and plan and execute the Annual Meeting of Stockholders
  • Prepare Board meeting agendas and resolutions, and ensure that the Board and Board Committees function in accordance with applicable law, regulations, and policies
  • Coordinate due diligence activities, draft and review related documents, and provide risk-aware, actionable legal advice on M&A and strategic initiatives
  • Oversee the Company’s Insider Trading Policy and 10b5-1 plans, and address related employee and director equity matters
  • Assist with managing company-wide Information governance and document retention initiatives
  • Perform advanced legal and other research, and stay current on governance trends and SEC and NYSE developments
  • Oversee domestic entity management and governance, including supporting all domestic expansion initiatives
  • Assist with claims and litigation
  • Develop and refine policies, templates, and other tools to improve efficiencies within the legal and compliance department

Basic Qualifications:

  • 4+ years of relevant post qualification experience and permitted to practice law as in-house counsel for a CA corporation
  • Experience with the federal securities laws (including the Securities Exchange Act of 1934, and Dodd-Frank Act) and NYSE listing standards
  • Experience with corporate governance and corporate secretarial responsibilities

Preferred Qualifications:

  • Possess a practical, business-oriented approach to problem-solving and able to effectively counsel internal clients by providing them with clear and concise advice and creative solutions on timelines to meet business needs 
  • Operate autonomously while being a team player who brings a positive, “can do” attitude to the workplace and works collaboratively with other members of the Legal and Compliance team and with internal clients
  • Ability to manage shifting priorities within a fast-paced, rapidly evolving environment
  • Superior communication skills, both verbally and in writing
  • Proficiency with G Suite and Microsoft Word and demonstrated project management skills
  • Detail-oriented, organized, efficient and resourceful with strong follow-through. Have integrity and a commitment to ethics
