About the team and position

Carvana is looking for an enthusiastic and talented attorney to join our team as an Corporate Counsel. The  Corporate Counsel will generally support the Company’s Securities, Corporate Governance, and M&A activities. The  Corporate Counsel will report directly to our Senior Associate General Counsel and serve as a key advisor to the Company’s Financial Reporting, Accounting, Investor Relations, and Senior Management teams on a variety of corporate and transactional matters. 


What you’ll be doing

  • Securities and Corporate Governance
      • Responsible for ’34 Act and ’33 Act compliance.
      • Prepare and file Form 8-Ks, registration statements, and proxy statements.
      • Support Company’s Financial Reporting team in preparing and filing Forms 10-Q and 10-K.
      • Advise Senior Management and Investor Relations on disclosure issues, including Reg FD, non-GAAP financial measures, securities offerings, forward-looking statements, and analyst and investor presentations.
      • Assist with registered and unregistered debt and equity offerings.
      • Advise on various corporate governance matters, including evaluation of shareholder proposals, planning the annual meeting of shareholders, and compliance with NYSE listing standards.
      • Advise on all executive compensation activities, including Section 16 filings and Rule 10b5-1 plans.
  • Mergers & Acquisitions (M&A)
    • Advise internal stakeholders on the Company’s merger and acquisition activities.
    • Draft and negotiate asset and stock purchase agreements, joint ventures, and strategic partnership documents.
    • Oversee and implement due diligence activities.
    • Coordinate with cross-functional teams, in particular Accounting, Tax, Product, and Engineering, to complete integration of acquired companies and strategic partnerships. 


What you should know/have

  • A juris doctor (JD) degree from an accredited law school.
  • 3+ years of relevant legal experience in securities and transactions.
  • Experience working for and/or representing publicly traded companies.
  • Ability to prioritize and execute on a high volume of securities, corporate governance, and M&A matters with limited supervision.
  • Excellent communication skills necessary to coordinate amongst deal counterparties, internal teams and business units, professional service providers, and outside counsel.
  • Proficiency and interest in drafting, reviewing and analyzing transaction documentation, while collaborating on strategy and risk considerations.
  • Enthusiasm and energy to contribute to and thrive in an energetic and rapidly-evolving company with a collaborative atmosphere.
  • Self-starter with an appetite for problem-solving and ability to “own” projects or tasks to see goals through to completion.
  • Membership in good standing with a United States State Bar.
