Job Description 

We are looking for a detail-oriented and self-motivating Legal Specialist (Venture) to join our Legal Team at RedotPay. Reporting to the Venture Counsel, this role is designed for a junior to mid-level lawyer with 2-3 years PQE who is eager to build deep expertise in a dynamic, high-stakes fintech environment. 

 

Key Responsibilities 

Deal Structuring & Execution 

  • Support license acquisitions, strategic partnerships, and other corporate transactions across jurisdictions, ensuring structures are commercially sound, tax-efficient, and compliant (including virtual asset and payment services regulations). 
  • Conduct preliminary legal due diligence before term sheets: review corporate documents, identify risks/deal-breakers, and provide clear recommendations 
  • Review and negotiate transaction documents including term sheets, share purchase/shareholder agreements, articles of association, and ancillary deal documents. 
  • Coordinate with external counsel, financial advisors, and internal stakeholders to support change of control applications and timely closings. 

Transaction Lifecycle Management 

  • Manage the end-to-end lifecycle of multiple concurrent cross-border acquisition matters with strong documentation discipline, version control, and audit trails. 
  • Oversee closing mechanics, satisfaction of conditions precedent, regulatory filings/notifications, and post-closing obligations. 
  • Build and improve internal templates, playbooks, checklists, and process guidelines for venture and corporate transactions. 

Cross-Functional Support 

  • Prepare executive summaries, risk assessments, and decision-ready materials for venture and acquisition opportunities. 
  • Work closely with Corporate Finance on target evaluation and key commercial term negotiations. 
  • Partner with Business Development, IT, Product, and executive teams to support post-closing integration, including contract transitions and regulatory handover. 

Qualifications 

  • LLB/JD or equivalent; qualified to practise in Hong Kong and/or other major common law jurisdictions (US/UK/AU/Singapore). 
  • 2–3 years PQE as an Associate in a reputable firm (HK or common law jurisdictions) with meaningful exposure to private equity and M&A (due diligence to drafting). 
  • Strong foundation in company and securities law, with proven drafting and negotiation skills. 
  • Excellent attention to detail, able to thrive under pressure, and strong project management skills (independently leading small deals while coordinating cross-functional teams). 
  • Strong English communication (written and verbal). Mandarin/Cantonese is a plus.
