Job Description

We are seeking an experienced leader to oversee legal entity governance and compliance activities across a large, complex organization. This role is an individual contributor and will be responsible for establishing and maintaining a robust governance framework that promotes accountability, regulatory compliance, operational efficiency, and effective risk management across the company's legal entity structure.

The successful candidate will partner closely with Legal, Accounting, Finance, Tax, Compliance, Human Resources, Corporate Secretary, and external advisors to ensure legal entity obligations are fulfilled and governance processes operate effectively. This role provides visibility to senior leadership and plays a key part in driving governance strategy, strengthening controls, improving reporting, and supporting the ongoing evolution of the company's legal entity governance framework.

Key responsibilities

  • Governance, oversight, and reporting: Lead the ongoing development and execution of the legal entity governance framework, including process standards, ownership clarity, governance forums, escalation protocols, and reporting to senior stakeholders. Develop periodic legal entity governance reporting, including the status of compliance obligations, audit completion, entity lifecycle activity and open risks.

  • Entity lifecycle management: Manage the creation, maintenance, and dissolution of legal entities. Identify opportunities to simplify the legal entity structure.

  • Stakeholder collaboration: Serve as a central governance partner across Legal, Corporate Secretary, Accounting, Finance, Tax, HR, Compliance, and outside counsel to align ownership, resolve process gaps, and ensure legal entity obligations are completed in a timely and accurate manner.

  • Risk management: Proactively identify and manage compliance issues that could lead to penalties or operational disruptions. Design and maintain controls, procedures, and documentation to support consistent, auditable execution of legal entity compliance and governance activities.

  • Compliance tracking: Collaborate across groups to ensure timely filing of annual reports, license renewals, and other jurisdictional requirements across all entities and locations.

  • Audit tracking: Partner with accounting stakeholders to ensure timely filing of financial statements and audit completion.

  • Revenue agreement governance: Oversee assigned governance processes, including the centralized capture and monitoring of new revenue agreements, ensuring complete and accurate documentation and periodic reviews to support data integrity and compliance.

Scope & Influence

This position requires regular partnership with VP and SVP-level leaders across Legal, Corporate Secretary, Accounting, Finance, Tax, Compliance, Human Resources, and other business functions to support the effective governance and administration of the company's legal entity structure.

The successful candidate will be expected to influence outcomes across multiple stakeholder groups without direct authority, drive accountability for legal entity obligations, identify and escalate governance and compliance risks, and support decision-making related to legal entity structure, process ownership, and governance strategy. This role also provides visibility to senior leadership through governance reporting, risk assessments, and recommendations focused on strengthening controls, improving transparency, and enhancing operational effectiveness.

Basic Qualifications

  • Bachelor's degree in Accounting, Finance, Business Administration, Legal Studies, or a related field, or equivalent work experience.

  • Eight or more years of progressive experience in governance, compliance, accounting, finance, risk management, legal operations, corporate administration, or a related field within a publicly traded company, financial services organization, or other highly regulated industry.

  • Experience leading cross-functional initiatives involving multiple stakeholders and business functions.

  • Strong understanding of governance, compliance, risk management, and internal control principles.

  • Demonstrated ability to analyze complex issues, assess risks, develop practical solutions, and drive execution.

  • Strong communication and relationship management skills, including the ability to influence outcomes, build consensus across a matrixed organization, and effectively communicate with senior leaders and executives.

  • Experience with legal entity governance and lifecycle activities, including entity formation, maintenance, restructuring, mergers, acquisitions, dissolution, and related compliance obligations.

  • Experience designing, implementing, or overseeing governance, compliance, risk management, or internal control frameworks within a complex organization.

  • Demonstrated ability to influence senior stakeholders, drive organizational change, and achieve results through collaboration.

Location Expectations:

This role requires working from a U.S. Bank location three (3) or more days per week.

The salary range reflects figures based on the primary location, which is listed first. The actual range for the role may differ based on the location of the role. In addition to salary, U.S. Bank offers a comprehensive benefits package, including incentive and recognition programs, equity stock purchase 401(k) contribution and pension (all benefits are subject to eligibility requirements). Pay Range: $133,365.00 - $156,900.00
