About the Role
As Senior Legal Counsel (SaaS) for ResMed’s Residential Care Software (RCS) businesses, you will serve as the senior legal partner to a dynamic and mission-driven portfolio of healthcare SaaS platforms. This role demands a seasoned attorney who combines technology fluency, regulatory depth, and business pragmatism. You will drive legal strategy across commercial, product, and compliance domains—collaborating with leadership, sales, product, and engineering teams to enable growth while managing legal, privacy, and AI-related risk.

Let’s talk about Responsibilities

Strategic Legal Partnership 

  • Serve as the primary legal advisor to leadership within the Residential Care Software businesses. 

  • Develop and execute legal strategies to support B2B SaaS growth, innovation, and regulatory alignment in complex healthcare markets. 

  • Act as a trusted partner to executive, operational, and cross-functional teams across legal, product, and commercial groups.

Commercial Transactions & SaaS Licensing 

  • Lead the negotiation and structuring of B2B SaaS agreements, master service agreements, reseller arrangements, and enterprise licensing transactions. 

  • Ensure compliance with federal healthcare program requirements in customer and partner relationships, particularly in areas implicating referral incentives or value transfer. 

  • Support go-to-market functions with deal structuring, term sheet development, and contract lifecycle support. 

Product, Engineering & AI Legal Support 

  • Collaborate with product and engineering teams to assess legal risks in: 

  • AI-enabled features, machine learning models, and clinical decision support tools (CDS/SaMD-like functions). 

  • Open-source software usage, third-party integrations, and IP ownership. 

  • SaaS product design choices impacting healthcare regulatory posture or data governance. 

  • Track and interpret emerging regulations governing AI in healthcare (e.g., FDA, ONC, EU AI Act, state laws) and guide teams on AI compliance readiness, including documentation, transparency, and validation practices. 

  • Help shape internal policies around responsible AI development, risk-tiering, and model governance. 

Regulatory & Compliance Oversight 

  • Provide legal counsel across a wide range of healthcare and privacy regulations, including: 

  • HIPAA, HITECH, 21st Century Cures Act, and state-level privacy/security laws. 

  • Anti-Kickback Statute (AKS), False Claims Act (FCA), Stark Law, and similar fraud-and-abuse frameworks. 

  • TCPA, CAN-SPAM, FTC guidance, and digital marketing compliance. 

  • Anticipate and mitigate regulatory risk related to patient data use, care coordination tools, clinical content, and commercial strategies. 

  • Support internal privacy governance, incident response, and regulatory reporting when required. 

Operational Legal Enablement 

  • Build and manage legal tools including contract templates, playbooks, clause libraries, and self-service guidance tailored for healthcare SaaS. 

  • Deliver internal training to sales, product, and engineering teams on key legal topics (AI regulation, licensing boundaries, AKS risk, privacy-by-design). 

Corporate Transactions & Litigation 

  • Support M&A transactions including due diligence, risk assessments, and integration support. 

  • Advise on pre-litigation risk, disputes, subpoenas, and regulatory inquiries. 

  • Manage outside counsel engagements for specialized matters. 

Leadership & Team Development 

  • Lead and mentor a team of legal professionals with clear alignment to business objectives. 

  • Foster a high-performance culture, promote operational excellence, and collaborate across ResMed’s global legal community. 

Let’s talk about Qualifications and Experience
Required 

  • JD from an ABA-accredited law school; admitted and in good standing with at least one U.S. State Bar. 

  • 10+ years of legal experience, including at least 5 years in-house at a healthcare or SaaS technology company. 

  • Demonstrated expertise in: 

  • Commercial contracting for SaaS, software licensing, and healthcare service models. 

  • Supporting product development, engineering, and innovation functions, including AI and digital health. 

  • Advising on regulatory compliance across HIPAA, HITECH, AKS, FCA, and state privacy regimes. 

  • Strong understanding of international data privacy and transfer laws impacting global SaaS platforms. 

  • Business-oriented mindset with strong written and verbal communication skills. 

  • Ability to manage a broad portfolio of legal risks and balance urgency, quality, and scalability. 

  • Willingness to travel occasionally (less than 5%) 

Preferred 

  • Experience in a matrixed, multinational organization or supporting international product deployments. 

  • Familiarity with long-term care, senior living, or post-acute care sectors. 

  • Knowledge of AI/ML regulations, FDA SaMD/CDS guidance, and algorithm governance. 

  • Proficiency in contract lifecycle management tools, privacy management platforms, and Salesforce. 

  • Prior experience managing and developing legal teams.
