The Legal Counsel is responsible for providing commercial legal support to the company, with a focus on medical device industry specific issues for the North American region of a multi-national environment. The ideal candidate will have at least three years of legal experience in the medical / medical device industry. The candidate will collaborate closely with both legal and business stakeholders, with skills in areas such as contract drafting, negotiation, advertising and marketing, understanding intellectual property and regulatory compliance. This position reports to the Assistant General Counsel, offering significant exposure to a wide range of projects and development opportunities in a fast-paced, commercial environment.
Primary Responsibilities
- Serve as the primary legal point of contact for one or more of HBF's Global Business Units in North America, with a focus on providing pragmatic commercial support for the medical adhesive market segment
- Provide legal guidance on regulatory compliance impacting the field of medical adhesives, including FDA compliance, Stark Act, Sunshine Act, Anti-Kickback and HIPAA
- Independently draft, review and provide advice on various transactional matters, including confidentiality contracts, GPO contracts (as supplier), BAAs, agreements with customers, suppliers, distributors, agents, consulting agreements, intellectual property licensing and joint development agreements
- Develop and deliver training to legal and business colleagues on various topics, including best practices related to the medical adhesives business and applicable regulations
- Collaborate cross-functionally to ensure alignment with business goals and legal compliance
- Draft, monitor, and revise legal templates as necessary
- Proactively provide legal support to corporate functions such as sourcing, operations, supply chain, R&D, tax, finance and audit
- Participate in business meetings to stay aligned with evolving business needs
- Advise on legal risks and provide support for corporate/project work
- Identify opportunities for improvement across all levels within the company and assist in implementation
Minimum Requirements
- J.D. required
- Bachelor's degree or equivalent relevant experience
- A high degree of subject matter expertise related to laws and regulations for the manufacture and sale of medical devices
- Travel may be required (up to 25%)
- Admitted as a lawyer in at least one state (MN preferred)
- At least 4-5 years of transactional legal experience, including commercial contract review and drafting (three years to be within the medical field)
- Ability to understand new or changing laws and work with Law Department attorneys to ensure compliance
- Ability to advise business partners on legal strategies aligned with business needs
- Strong organizational, analytical, and communication skills (both oral and written), including the ability to simplify complex legal topics
- Collaborative team player with a client-focused mindset
- Excellent attention to detail and accuracy
- Ability to manage multiple matters simultaneously under deadline pressure
- Strong relationship-building and conflict management skills
- Strategic thinker with ability to navigate ambiguity and shifting priorities
Preferred Requirements
- Familiarity with research databases such as Westlaw, Lexis/Nexis, or similar
- Proficiency in Microsoft Word, Outlook, Excel, SharePoint, and PowerPoint

Pay is based on several factors including but not limited to education, work experience, certifications, and geographic location.
The salary for this role is $145,000 - $190,000. In addition to base salary, this position is eligible for a short-term compensation incentive and potential relocation package.In addition to your salary, H.B.
