Position Summary
The Legal Counsel is an individual contributor who is responsible for the end-to-end management of the legal and compliance function for the company.
The Legal Counsel will assist the Head of Legal in handling all legal and compliance matters.
The Legal Counsel must provide relevant and commercial legal advice to stakeholders and employees on legal matters affecting its operations. Key to success is the ability to navigate various competing issues impacting the business so to ensure that the business obtains the most relevant and commercially astute advice available.
Role and Responsibilities
Legal:
- Advice to the business on a broad range of laws including: general corporate and commercial, employment, competition, intellectual property, privacy, litigation, anti-corruption, consumer protection.
- Draft, review, negotiate agreements such as Sales/Distribution Agreements, Procurement Agreements, Sponsorship Agreements, Consulting Agreements, License Agreements, etc.
- Review marketing materials and advertisements (online, offline etc)
- Management of legal and compliance process systems.
- Manage legal disputes and litigation including management of external counsel.
- Provide legal advice to RHQ and HQ in relation to various legal issues upon request.
Compliance:
Management of the Company’s compliance program including:
- General administration of compliance program;
- Conduct of employee compliance training; preparation and circulation of relevant compliance messaging and educational material;
- Manage entry and maintenance of compliance program records; and
- Liaise with RHQ and HQ in connection with regional or global compliance requirements.
Update and implement business policies to ensure compliance with Singapore laws.
Monitoring of legal developments and trends.
Data Protection Officer / Data Protection Manager
- If required, to perform DPO or DPM functions.
Skills and Qualifications
- Law degree (LL.B. or JD) – required
- Admitted as an Advocate and Solicitor of the Supreme Court of Singapore or a common law jurisdiction
- At least 5 years of Post-Qualified Experience (PQE)
- Demonstrated experience in corporate/commercial law and contract negotiations
- Experience working in a law firm
- Developed understanding of corporate, commercial, employment, competition, intellectual property, privacy, litigation, anti-corruption, and consumer protection laws
- Excellent analytical and problem-solving skills
- Ability to work independently and as part of a collaborative team across diverse functions and levels; building relationships and influence stakeholders at all levels, valuing diverse perspectives
- Self-motivated, adaptable, and resourceful in meeting changing priorities
- Excellent communication skills, both written and verbal
- Ability to thrive in a fast-paced environment, embracing flexibility and growth
- Commercial awareness with the ability to provide clear, concise legal advice
