At Sana Commerce, we are looking for a Legal Counsel who will play a critical role in ensuring legal compliance, managing risks, and supporting our international business operations. You’ll work closely with cross-functional teams and senior stakeholders to provide legal guidance.

Job Description
What you'll be doing:
- Develop and implement a fit-for-purpose legal strategy aligned with the organization’s goals.
- Ensure compliance with relevant laws, regulations, and industry standards. We conduct our business predominantly under US, UK, and Dutch law.
- Conduct legal research and stay informed about changes in legislation.
- Setting up and monitoring a scalable process for contracting our customers and partners.
- Manage the standard contracting templates and support our commercial team in drafting, reviewing, and negotiating contracts, including customer agreements, vendor contracts, and partnership agreements.
- Advise on legal implications of contractual terms and conditions and – if applicable – advise on legal disputes.
- Setting up a risk framework to continuously monitor whether our contract portfolio is within the risk appetite of the company. Collaborate with internal teams to mitigate risks effectively.
- Manage the insurance portfolio of the company.
- Protect the company’s intellectual property rights (trademarks, copyrights, patents). Handle trademark registrations and IP enforcement matters.
- Assist with corporate governance matters, including board resolutions for our international legal setup.
- Work with external counsel where additional expertise is required.
Qualifications
What you'll bring:
- Excellent command of Dutch and English language, both spoken and written;
- An obtained LLM-title and a minimum of 5 years of legal experience, preferably in IT, e-commerce, or related fields;
- Business acumen and ability to balance legal considerations with practical business needs;
- Collaborative mindset and ability to work across teams;
- Uphold the highest ethical standards and maintain confidentiality.
