- Lead and manage legal aspects of M&A transactions.
- Draft and negotiate key agreements and transaction documents.
- Conduct and oversee comprehensive legal due diligence.
- Advise internal teams throughout all phases of M&A deals.
- Collaborate with external counsel and advisors for efficient execution.
- Develop best practices for M&A legal processes and documentation.
- Monitor legal and regulatory developments impacting M&A and energy.
- Support post-closing integration activities.
- Responsible to ensure compliance with applicable external and internal regulations, procedures, and guidelines.
- Juris Doctor (J.D.) degree from an accredited U.S. law school.
- Active membership in good standing with at least one U.S. state bar.
- Minimum of 5 years of experience practicing corporate law, with a significant focus on M&A transactions, either in-house or at a reputable law firm.
- Strong understanding of corporate and securities law, and other regulations relevant to M&A.
- Excellent analytical, communication, and negotiation skills.
- Proven ability to manage multiple projects simultaneously and meet tight deadlines.
- Experience in the energy transmission and distribution sector, in the software industry or in a related industrial field, is a plus.
- Candidate must already have work authorization that would permit them to work for Hitachi Energy in the United States.
