We are seeking a talented individual to join our Legal and Compliance team at Marsh. This role will be based in Tokyo, Japan. This is a hybrid role that has a requirement of working at least 3 days a week in the office.

Position: Legal Counsel, Legal, Compliance, and Public Affairs team

We will count on you to/業務内容:

• 国内契約からグローバルマスターサービス契約まで、様々なクライアント契約の分析および交渉を行う。
• 会社統治、M&A、不動産、雇用、事業構造など、日本法に関する法的助言を提供する。
• デューデリジェンス、契約交渉、買収後の統合、外部弁護士との調整を含むM&A活動の支援。
• 取締役会や株主総会の運営、決議書の作成、ガバナンス要件の更新など、コーポレートセクレタリアル業務の管理。
• 法務・コンプライアンス戦略の実施支援、法務文書の管理、報告およびコスト管理、LCPAチームの運営支援。

What you need to have/必須条件:

• 企業法務および商法の高度な専門知識。
• M&A取引、契約レビュー、契約書作成・交渉の経験。
• 日本のビジネス文化、法的環境、コンプライアンス規制に精通していること。
• 優れた組織力、データ管理能力、文書作成能力。細部への注意力。
• タイトな締め切りの中で効果的に業務を遂行できる能力。

• 日本または海外での弁護士資格（あれば望ましい）。
• 日本語と英語の両方に堪能であること（非常に望ましい）。
• 保険仲介および金融アドバイザリー業界の経験。
• 商業的視点を持ち、強いビジネス感覚と文化的感受性を備えていること。
• 高い誠実性とプロフェッショナリズムを持ち、コンプライアンスとビジネス目標のバランスを取れること。
